Without knowing the full state of the claim by Semnet you stated the former directors made 5m. Yet a claim for 4.2m is unrealistic lol. You don't know what defence the lawyers will come up with.

The reality is the case is still at an early procedural stage, the $4.2m claim looks aggressive relative to the original US$1.8m paid for 66.67% of Semnet, and Allen & Gledhill are defending it seriously.
