@Degsie ... for them to announce anything new at the AGM if would have to come to fruition or into place during that AGM highly unlikely don't you think...... otherwise announcing anything new there would mean they'd been withholding price sensitive information to enable them to announce it at the AGM ... it would have to be RNS'd prior to the AGM the rule isn't there just for the benefit of shareholders of the company.

Agreed Ivy ... any disclosure of new information behind closed doors (i.e. at an AGM) would be a huge no no ... it has to be announced publicly so that anyone can access/use the information on an equal footing to everyone else ... I guess the U.S. consider a Tweeted announcement as a in the public domain....

Ivy a Disapplication or waiving of pre-emptive rights is more than the norm & usually accompanies an authority to issue shares... it simply allows the board to negotiate placings behind closed doors when they want/need money for something without alerting the market ... I only recall ever seeing one placing made at a premium to the SP so they are both dilutive & SP damaging as it usually drifts down to meet the placing price before any hope of recovery or increase .... don't get me wrong, used correctly in the right hands at the right time for the right reasons it is an invaluable tool for the BoD & gives them the opportunity to raise cash quickly & without announcing it first to the public &/or gaining separate approval from shareholders to do so ...

If you have trust & faith in this BoD as you indicate then a vote for both resolutions would be entirely in keeping with that view .... unfortunately I don't have either so my vote will be against both & would prefer being forewarned & having the chance to agree, sell up or partake as I see fit & this is their Dilemma if they were to announce a placing at say .15 (with warrants) to give the 'money' a discount & future benefit ... many here would sell knowing the SP will fall to match .... too many sells & it goes under the placing price & the deal will potentially be scrapped - if it's for good cause or reason the price will hold (probably just above the placing price).... hence voting against both means we PI's control any future placing(s) based on our assessment & agreement with the need/reason & the ability to partake.....

@Ivy - this is clearly going to come as a surprise to you but it doesn't upset me at all - I think you're buying in a cracking price currently & have the potential to make a good return..... my gripe isn't with anyone buying or selling at these levels at the moment... my views & comments are based on the what's, why's, decisions & statements surrounding why we're now trading down here instead of what 'in my opinion' would be considerably higher if it weren't for the actions, decisions & statements of this BoD so far (& of course Lenigas who did so much & then fkd everything with his actions, ego & gob) ... a lot of people may get their money back IF as Obs says the board play the cards right you might make a bundle & good luck .... however that is with the board playing the hand correctly & in my opinion they're playing a game they don't know the rules of or how to win it...

I do however sincerely wish you luck your profit might be a full or partial recovery for many .... but in my view we can do without further uncontrolled debt & dilution which is why I advocate voting against resolutions 4 & 5 at the AGM ..... I doubt they'll get voted down however.... they rarely do because people generally blindly put their faith & trust in the BoD of the company they're invested in regardless of the position of the Co & track record ... but if they get passed don't be surprised if there isn't a placing announced shortly afterwards ... let's see ... one way to know or negate the possibility would be to push for a commitment otherwise in the webinar.... let's see ...

Remains to be seen whether we're not part of the problem BCN currently have by selling down our holding further.... on a more negative spin (assuming we accept the way the sale at 70p was reported) the value of the £4.5M we spent buying 4.5M shares is now worth £2.5M that's a not insignificant loss of £2M currently ... can you paint a rosy picture over that?...

Although I think I've sussed you out Obs ... I reckon if I wanted to short &/or see a company fail one way of achieving that might be:

1) praise the BoD continuously for dubious decisions & statements resulting in price failure.
2) praise the BoD for re-negotiations that extend debt timeframes & maintain potential dilution levels.
3) praise the BoD for directional changes that create further debt & dilution whilst increasing risk & uncertainty.
4) advocate the BoD's ability to issue more shares at the drop of a hat excluding existing PI participation.
5) Rank the stock continuously as a strong buy until the end goal feels near then change it to a no opinion so you can say you were ultimately neutral & suddenly warning people of the risks you now perceive.

Is that your game Obs - is it a modus operandi you've used before with success?

you seem a little conflicted - but I do agree with 3 & what they need to play well are the JV' s that's where our future value is - they can play miner & investor with the realised value of those afterwards & dilute as much as they want as I'll be gone...

.....it's worth noting that the £300,000 nominal value included under resolution 4 equates to another 3 Billion shares ... & @ say .15p is only £4.5M...

My preference would be that they sell CLY/AOU/MMS & any other Lenigas trash first & then see what cash is required .... as when if the BBC/HAS JV's return their true value they can do what they like with spare In funds (including buddying up to Lenigas) as I'll be out of here....

The resolutions on the ability to issue shares with a waiving or dis-application of pre-emption are the norm for AIM co's in my experience & in most instances is just a formality & wouldn't necessarily mean squat ... boards often issue placings in Tranches of the total authorised ... if both resolutions are passed this just appears out of the blue in an RNS - often to sighs of resignation or voices of disbelief & disgust - & people seem to forget they approved the BoD's ability to do it - makes you laugh really.

The only way to stop unwanted or unexpected placing RNS us to vote against either the resolution providing authority to issue shares OR the waiving of pre-emptive rights... voting against both means they have to request approval to issue shares for each occasion they want money via a placing..... voting against 5 means they must offer it to PI's for first right of refusal before elsewhere... voting against the resolutions provides a prior alert to the market & PI's a placing is coming....

Considering the upcoming CLN repayments & the plans for ZULU & San Luis (if it ever gets licences & we haven't already wasted time & money) ... coupled with that farcical (& fortunately temporary) hook up with Beaufort's I'd say one is imminent, necessary & possibly already set just waiting for us sheep to vote FOR resolutions 4 & 5.... after that I suspect there'll be a placing announced toot sweet.... if we can't stop resolution 4 I'd settle for a vote against 5 as it means at least we get a chance to partake at 'mates rates' if we so choose ... might stop some the placing games & hinder forward selling....

Good grief JbN another one I pretty much wholly agree with & have rec'd ... whatever next although in nearly all instances at AGM's the board will ask for the waiving (dis-application) if pre-emption rights ... it gives them the most flexibility & the ability to move quickly that they otherwise wouldn't have .... & usually I would have no problem with this if I trusted & had any faith in the boards ability to deliver... unfortunately this current board have done exactly the opposite in my opinion & why I'll be instructing my broker to vote no to both resolutions 4 & 5.

Is this board somewhere to express thoughts & dissatisfaction - absolutely it is otherwise we might as well all clap hands, sing come by are my Lord & heap praise on the board & offer thanks for a bad job poorly done.

Do the board read what's written here - couldn't give a flying .... it's not for them it's for us... Kieran said he glanced occasionally & so what... it wouldn't take reading more than a couple to get the gist...

Does it help posting anything here of course it does... anyone attending the AGM can take anything they like (or not) from the board if it rings any bells in their noggin.
