The onus is on the investor, it's only really the investor who has full knowledge of the level of their direct & Indirect share ownership in a company, you could have accounts with several brokers holding shares in the same company for instance.....
That's why companies confirm the total shares in issue occasionally as required, necessary or when making new issues of shares which increase the share capital (SCAP) under placings, incentives etc or indeed a reduction of shares under a consolidation or buy-back & removal from the register...... they do this by stating in any such announcement:
For the purpose of the Disclosure and Transparency Rules, following the issue of shares detailed above the enlarged issued share capital of the Company will comprise ?????????? (No of issued shares) ordinary shares with no Ordinary Shares held in treasury. Therefore the above figure of ??????????? (Total No of shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in ............(name of company) under the FCA's Disclosure and Transparency Rules
