It's a safety valve they've exercised in every other year not sure I see any alternative to using it again this ... save for a sale of a JV for anything like what we'd like to believe is the true value of them.

Ivy ... the potential to dilute by 50% comes from resolution 5 ..... the authority to issue up to £500k at nominal value (nominal value post consolidation being 1p) = 50M shares which is near enough a 50% increase on what would the consolidated SCAP currently.

That's where the 'potential' comes from ... of course selling an JV asset (at the right value) might negate the need to raise but that's as much of an if they sell & if they realise/negotiate anything near true value ....if not they'll need to raise again simple as for their wages (deserved or not), to pay debts, to purchase other assets they've committed to, run the office, take business class flights & the office biscuits.

When you're talking about the SP you need to indicate the denominator.... it is currently £0.0007 bid or 0.07p ...& for clarity I bought shares at £0.0004 (or 0.04p) years ago (2012/2013) when the bid was £0.0003 .... so after 7+ years our illustrious & talented BoD with the 'combined experience in matters mining & financial' have almost brought us back to where we started but with 7 years of well earned salary under their belts ....... any hint of sarcasm wholly intended.

Mac ... even this Brazil deal is fraught with risk to my mind ... Kiran sings about its potential & some drool & hang on it ...we have$2.5M locked up already & have committed to providing a further $3.5M .... once approved by the JRP the company that we will own 20% of will be assigned a debt by the courts of $49M ... what happens if the price of iron ore tumbles again (further than it has) & once they get into the rejuvenation/renovation of the mine & infrastructure who knows what they'll find ...anyone's who's bought a house that needs work at auction knows how something can he found that blows budgets out of the water if Amapa fails for any reason before we've got more funds in the bank than we've ever had we've got another $9M of debt (our share of the assigned $49M) to resolve ...people talk about the potential here as if it's written in stone (which it isn't) & history tells us more of the story here & the BoD's 'success' record for PI's than what 'might' be in an i'deal' world in the future.

I'm waiting to see how Ganfeng unfolds in the next couple of weeks & for the first time since 2013 am seriously considering realising my losses which will please many I'm sure because unlike the stink of Lenigas through the Minigases I won't be posting on a share I no longer hold.

As the header indicates just my thoughts & opinions as usual....

Other than Kiran's repeated statements & view that a consolidation wasn't right or necessary for us & wouldn't be happening here I'm actually not so bothered about the consolidation.... the markets perception/valuation of what the MCAP should be is what it is ...divide that number by the shares in issue & the number you hold & you have your shareholding value....

What does bother me is the sudden increase in the authorisation to issue shares per resolution 5 this year .... previously £300k nominal value but now in 2019 £500k with usual disapplication of pre-emption rights (res 6) ...no one's mentioned this as it seems to have been overlooked whilst everyone's pre-occupied with a consolidation which at face value shouldn't effect the value of your holding overly...unless they dilute using any authorisation under resolution 5 if passed.

Having said that & as many have said I've never yet seen a consolidation that gas worked to the benefit of existing PI's.

So is the date & consolidation intentional so they can pass resolutions on their own show of hands almost unopposed & to divert attention from the increased authority to issue shares & the ability to dilute further? ... absolutely in my view & don't forget all the shares that the 'BoD' have purchased have been paid for with salaries that we've paid them & they've all got incomes from other interests as well to supplement their oh so hard earned here anyway (sarcasm intended).

So having potentially reduced the number of shares to 105M ish they also ask at the same time for auth to issue £500k at the New nominal (1p) which is 50M shares or near 50% dilution... bunch of absolute ****ers!!

Personally I will again instruct my broker to use my shares to vote against resolutions 5 & 6 this year.... again ... although a fat lot of good it did last year.

Not sure why you felt the need to ask but it was essentially a figure of speech as I will remember & recall it in the future in similar fashion that I recall Botham's heroics with the bat & Willis's with the ball from many years ago .... along the lines of one of the many dictionary definitions as below:

Looks to take any concern out of Ganfeng proceeding ... good for us too even though we don't have (or next to nothing) a direct interest in them any more.

Hmmm just says to me Ganfeng may be running short of readily available cash reserves...... really hope it doesn't impact their plans with BCN but let's wait & see....

Indeed I looked for the conversation on the BCN board before replying here.... Quite odd I find it.

But I do disagree some on the potential impact for us if the Ganfeng deal with BCN falls through due a lack of cash... Whilst we have little to nothing invested directly in BCN... Delays in the ectraction/mining/producing means that our JV interests in respect to our SP remains valued at next to nothing... If the Ganfeng deal goes ahead the value of our JV increases in my opinion... So should the Ganfeng deal with BCN fail then we're further away from realising value from the JV whether by exploitation or someone (like Ganfeng themselves) buying our 30% JV interest from us.
