You look at the RNS’s it is quite amazing how far this has came ... we haven’t even been listed for 6 months ....Lol

Aquas .. not a placing no, Nor is it dilution for us.
But it is for AZ..
the institution bought equity in a special investment vehicle which is part of Orchestra Group But that entity only purpose is to hold the shares of SYME.
So hence the indirect holding part of today’s RNS

Have a look at my history I did try to explain all this and why AZ shares in the register didn’t change and how the institution invested..
or this is going to be a very long winded post lol

Academy agreed, but we do have an ii on board, that’s what the previous RNS announcements are all about . They took roughly 2.7% .. And why indirect holding is mentioned in today’s RNS.
They hold 2.7% held in IAF2 which is part of the Orchestra group .. so indirect holding along side AZ in SYME’s equity

We also seen a £400k but that’s a direct holding
It’s all there in the RNS’s

For the upcoming January report that takes into account we are being audited for the past 18 months . The 30day rule will apply as it will only contain the first 6months of being a listed company Up to the end of September
For annual reporting it’s 60days

This RNS doesn’t have enough meet on the bones in term of contracts etc ..
but there are more indicators on the potential here by ii involvement.. sorry but we have been listed for 6 months and ii all over this lol .. Not one or two either .. not bad going on the time frame

We have already seen the Institutions direct and indirectly £400k and off market buy by Orchestra group. There will be more announcements with AZ share transfers and let’s see the buys going through the market.
For me everything AZ said is coming to fruition AZ we have it in an RNS.
This has de risked this further in my eyes as iI are investing so buying more today
Drop it if you like but look at corporate action behind the scenes too

I am still taking AZ words as truth as they have been proven correct so far .. for me any way

I am going to try and explain, from the RNS’s and AZ comments. about what has happened over these past few months, institutional investment and why AZ still owns the same number of shares.

AIMHO and in plain english

29th July RNS, shares from 1AF2 was used as security on a loan.

We know from AZ that 1AF2 is a special investment vechicle part of the Ochestra Group. but it is a seperate entity within the group.

28th August Ochestra Group aquires 1,630,000,000 @0.6756, so call it £11m.

it has always bothered me where the money came from as in July AZ needed a secure loan

From the whitewash paper the rules are clear, AZ would have to declare any other options or holdings he has access to, in any form.

theory is, this £11mill is the institutional investment both the 8th of September RNS’s refer to and AZ comments on Partnership. Remember AZ comments in Sundays interview “lots of interest from institutions. One institutional Partnership” The 8th of Sept RNS proves that comment as it shows the transfer of shares.

so how does shares transferred to the institution not effect AZ’s holding in the register?

The institution buys equity to the tune of £11mill… but in 1AF2, which only purpose is to hold a certain amount of shares. So AZ owns 1AF2 as its part of the group so owns the shares within. only now he is joint owner with the investing company
it is more likely a separate entity was created just for this Orchestra Group/ institutional investor partnership, but i am using that for clarity only

this is why from the 8th sept RNS its say hey transferred the stock to the institutional investor but in the other 8th RNS AZ share holding remains intact because it never left the Group of companies.

what did AZ get out of this. roughly over £4mill cash as we know the value of the shares that was transferred to the institution/ partnership…So AZ has his capital for expansion, still has his shares although deluted through 1FA2 partnership agreement what ever that may be.

hopefully I am correct, as ever willing to be proved wrong and IMHO

in between all that.. Chairman buys £1.5mill worth and MOU
