Old co and new co are still same directors new co ate old co.
But old co still in there from an accounting perspective.. and the assets that came with it.. platform and it’s costs, client worth/ forward income from old co.. the same would apply to Abal if they had any but they sold everything to blue something or other.. had nothing left but the listing.

Your definition - solid customer base, the new co wouldn’t be able to afford them with cash sooo consideration of shares. A no cash transfer.

But that forward business/clients is still there.. and has a value

But that is the purchase by the new entity SYME for both the old supply me and ABAL

The whitewash paper is two things really, the take over ABAL and the restructuring of pre listed supply me to SYME PLC
The £225mill is the valuation of the old co and used to give each director shares in the new PLC entity based on the percentage owned in the old company and those within the concord agreement but outside the old co. Eg investors/those that took up placing shares too
Of course that valuation was 0.6745p,per share or close to it .. recognise that figures or close to it hahaha

In the whitewash paper you will see a placing raising. Again from memory £2.2 mill .. I think £1.4 went to ABAL

But that £225 mill valuation changed the SYME hit the market. And will continue to change daily
