The high single digit forecast was intentionally prudent to ensure they keep banks happy, hit the numbers so as not to breach any covenants. Then if they exceed the forecast it would be announced. The previous management over forecast which led to them doing questionable things to hit the numbers (artificially) which led us to this mess. Bob and co have rightly done the opposite and been very prudent, underpromise and over deliver.

Very similar situation to what Mike Ashley attempted with Debenhams. Boohoo should watch their back with MA taking a stake in them!

Is it possible that the founders are doing an off market deal to sell their shareholding to Boo therefore taking them over 50%?

I noticed Minto liking Matt Moulding THG LinkedIn posts recently too.

Matt Moulding at THG has a reported personal stake in REVB. No doubt on side with Boohoo.

Hereshopin - The REVB financial year ends 28th Feb, so Q1 is March, April, May, which is a weak period for the cosmetics industry.

Considering Q1 is the quiet time of the year for Cosmetics, EBITDA of £3.5m is very good and shows the forecast of high single digit millions is a very conservative estimate.

I do think BOD are backed into to a corner though and very difficult to get out of.

Bobs first response was to issue an RNS regarding 'potential' legal action against Minto. Maybe this is the negotiating tool to stop Minto from siding with Boohoo, personally I would want to keep him close and see what happens. At the end of the day, he has created a global beauty brand with near 200m turnover in approx 8 years, just no clue how to run a PLC. From the private businesses I have worked for nothing he did was that surprising.

Maybe that was put forward to the board but rejected?

I can't see Jeremy Schwartz staying either if Boo gain control with the way they have gone about. His reputation is too important.

REVB use the THG Ingenuity platform. Unfortunately it seems to me Boohoo have got THG onside, and with Matt Moulding (THG CEO) reported to have invested in REVB personally, it looks to me like this will be near impossible to fight off, especially if the founders are supportive, and let's face it they have plenty of recent experience doing backdoor deals!

Maybe the legal action RNS yesterday is quite strategic.

After the Boohoo ESG scandal, poor state of the Boohoo business and awful share price performance, Boohoo should be banned from ever getting anywhere close to taking control of the board.

However I'm struggling to see how the Revb board can fend this off completely, apart from delay it, if Boohoo have support of the founders. Some form of legal action maybe?
