License Agreement with POINT Biopharma Inc.

License to utilise Avacta's pre|CISIONTM FAP sensitive activation platform for radiopharmaceuticals

Avacta Group plc (AIM: AVCT), the developer of innovative cancer therapies and diagnostics based on its proprietary Affimer® and pre|CISIONTM platforms, is pleased to announce that it has entered into a license agreement with POINT Biopharma Inc. ("POINT"), to provide access to Avacta's pre|CISION™ technology for the development of tumour-activated radiopharmaceuticals.

which has branded the technology as pre | CISION (an Avacta trademark)

Worth remembering that Point originally did a deal just with Tufts for Canseek but had to cut Avacta in on the deal when we challenged Tufts/Point that it infringed our exclusive right to Precision.

NHS costs of 50mg Dox is £100. Off patent limited in cycles, restricted by age and other factors.

NHS cost of 50mg Caelyx (also known as Doxil) £700. Patented avoids the cardiotoxicity of dox, has other side effects, global sales in 2022 1.2bn dollars.

On approval you could easily sell AVA6000 for multiples of dox price with treatment for many more cycles to more people and take not just the Dox market but also the Doxil/Caelyx market. Patients would live longer healthier lives with a reduction in costs of combating side effects.

Assuming a mother's womb contains no FAP then low doses of AVA6000 could ultimately be a solution for many pregnant women with cancer. According to this article one in 2000 pregnancies are complicated by cancer.

Just finished reading my christmas present "For Blood and Money" (excellent). Nathan Vardi says of AZN CEO "Soriot wanted to know what the absolute upside was of the drug, as opposed to the the worst-case scenario" before paying $7bn for Calquence when it was in registrational Phase 3 trials.

Imagine what his experts will tell him the upside for Precision (which will also challenge ADCs) is.

I have rolled over my questions from last time which hopefully they are now willing to answer after release of data

Question 1:What is the maximum number of doses of AVA6000 any one trial participant has received?

Question 2:What is the maximum cumulative dose of AVA6000 any one trial participant has received?

Question 3:How many patients have experienced a reduction in size of tumour on the trial and from which cohorts and for which conditions?

Why announce on the 4th that your going to present the Phase 1a data to shareholders on the 13th? They must have had all the data ready on the 4th or it's a big kick in the teeth if you have to pull the event on the 13th as you have not got it together. Does it take eight days for Darren in IT to cobble together a powerpoint?

My thoughts are that they have been having meetings and sharing the data with potential partners/suitors ahead of official release to have funding for P2 nailed down by Wednesday. Also possible meetings with FDA re approvals.

Firstly if you have worries about your own investment sell up or reduce your holding.

Under your logic the worst case scenario is that you only have one dose of AVA6000 and no more as it cures your cancer. So sales are a fraction of Dox. However Prof Twelves says average Dox cycles per patient is less than two. So many patients cannot have Dox because of age, heart conditions etc. Most clinicians would currently prescribe something else except for STS.

What price could you charge how big would the demand be?

Pharma takeovers tend to be agreed - I suspect the board have had discussions but deem them insufficient to seriously consider. True value will be realised after release of exceptional data, FDA fast track and a licensing/partnership deal to progress AVA6000 for other indications or a licence to use Precision for a BPs own products.

Point have licensed Precision from Tufts and Avacta for use in radiopharmaceuticals (my suspicion is that they thought they could just licence from Tufts). This licence would pass on to new owner.

It also says that the price Big Pharma may negotiate with BODs for takeovers may be less than shareholders will accept. Be interesting to see if Eli Lilly up their offer or another BP puts in an offer.

Following Eli Lilly's offer of $12.50 per share a near 90% premium the shares of Point rose to $12.36. They are now at $13.68 and Eli Lilly have extended their offer to 1st December. May not be a done deal yet.

What will drive the SP forward - smallest first?

1. Promotion to the MSCI World Small Cap Index this week - may be some institutional buying this week and next few weeks if we get promoted to the World SCI.

2. Release of Cohorts 1-6 data via an RNS from Avacta. Size of rise will depend on the quality and quantity of data and if it contains positive quotes from experts in the field eg. Dr Tap - far better for someone else to blow our trumpet.

3. The wider communication of the data via the MSM will drive private investor sentiment, particularly if we have confessions from a trial patient or two alongside AS explaining the science.

4. FDA news fast-tracking AVA6000 for use in Soft-tissue sarcoma

5. For me the biggest impact will be licensing deals with Big Pharma maybe to take AVA6000 forward for other indications or better still to use Precision on their own drugs (to improve existing licensed drugs or to resurrect drugs discarded in trials for their toxicity).

I have left out takeover offer as to maximise value of any takeover the company need to wait for 1-5 in my humble opinion.
