so if PF is sold off complete with Batchelors, Nissin would not be making again under the Batchelors brand. So they would have lost out. I think you will find if this was the case Batchelors would be back to square 1, but there would be contractual arrangements in place which means the noodles can only be distributed under the Batchelors brand whilst PF is independent. ie if silly example, PF was bought by Kraft, it would mean the arrangement would be over.

if Nissin sell, their 20% stake, what happens to the technology transfer arrangement? PF have got hold of Noodle technology because 20% is owned by Nissin, if they sell can PF still produce Nissin Noodles? That is the sticking point.

Nissin will not be bidding for PF. That is why they are ''paying'' Credit Suise to find a buyer for parts of the business, the whole business or arrange a merger. I have an even cheaper solution which I won't charge a penny for, that is tell Nissin to go and take their noodles with them. The Nissin stake is a blocking stake, don't think many companies will work with them. If there was a chance Mc Cormick were returning, PF would not be consulting Credit Suise.

I'm also sitting on a loss, but do not come on this BB and act as if I want the SP to go down which is what the likes of Doom want. Yes PF has decent brands, but there are facors holding the SP. down which are not GD' fault.

Because only you 2 are so frustrated in the losses you have made and would hate to see PF rise because you will then regret the fact you sold at a loss, instead of hanging onto them.

They are ''active investors'' they are not for the long haul, which is good news because it shows they feel they can make their money on PF quite quickly and move on ie they cannot afford to have money tied up in one project whilst another goes begging. It is highly likely that GD told Oasis what Nissin are upto, just like he told Nissin about the Mc Cormick bid, without telling us first, LIKE HE SHOULD HAVE.

If what you say is correct, Oasis would not be investing at the price they have been. Neither would the likes of ML.

I agree Nissin may be trying to get the company on the cheap, as little as 70p. Who can blame them? if they can get the company for even £50 million less, they could invest that in some of the brands like Mr Kipling which with investment, will be responsive. The first and easiest thing to do would be to get rid of the Lloyd Grossman arrangement. They could even get something for Hovis.

I accept they have gained nothing to date. However, if they did not buy of Warburg they would have paid a lot more. In theory, in the long term they can make money. we need to appreciate Mr Kipling is ''the jewel in the crown'' and eventually you could see a Mr Kipling IPO on the London Stock Exchange.

Because if they started building up like Oasis did, the moment they reached 5% they would have been paying a lot more each time an rns was issued. This is because they are a food manufacturer and theoretically could take over the whole lot. In contrast, to the likes of Oasis and other institutional investors and even Brandes they can load up a lot cheaper.

If today's activity had any significance, the SP would have moved stronger. We have seen big sells which we think we're bought by one buyer, but with no rns it means they were not. With PF I'll believe it when I see it.

OK there may be no initially. However, if Nissin build upto threshold the effect on the SP may be the equivalent of a bid. It is difficult to imagine who would buy PF and to be honest, you can see where Mc Cormick were coming from with the initial 52p bid, which may have been genuine. The subsequent 60/65p bids may have been highly conditional, which leads me to think Nissin could pick the company up for 70p and GD would say it is a decent ''genuine bid'' of course he would say that, as he has loaded up shares and of course, he would be offered a role by Nissin to begin with.

seen this before, if something is brewing, SP has funny way of showing it.
