Hey GreyPanther.. Yes I'm not disagreeing there. Partners can see fit to sell but from what I've seen the other partners need to agree to that sale. What happens if a partner sells to another company that hasn't the financial banking for opex costs or development. They normally also look for first dibs. Either way I'm convinced all West Newton partners are in for a joint flip of the PEDL.. We'll know by Nov ;-) hopefully

Hi mixster. I don't think your earlier posting is entirely correct. From a fairly recent joint operating agreement I've seen, each partner can do what it wants with its share of the licence, or even with just a small part of it. They certainly don't have to act "as one" in any disposal. There are also no "pre-emption rights" these days. This means that if one of the partners makes a deal with a new party who is not currently on the licence, the other partners no longer have a right to match that deal. This used to happen a lot in the past, and was very frustrating for a potential incoming party. It now seems to have been dropped from most modern JOAs.

I still stand buy what I say and unless someone sees the contract you'll find in most farm ins that the contract will say that other partners need to agree the sale. Tell me how Humber lost Wressle.. An upcoming producer and they couldn't se it.. Really. Why did they not sell their slice of West Newton to someone like a major. These oil companies aren't stupid. They'll have those contracts airtight on how you can sell your slice. I've used the divorce analogy here before.. Have a look..

This is completely incorrect. Each member of the Joint Venture has a right to sell their share or part of it as they see fit. They do not need permission from the other partners, nor do they need to offer any deal they may have been offered to the others.
Any offer for the assets will be made initially to the operator, Rathlin, this is the key role. Rathlin would of course consult with its main shareholder RBD and agree whether to sell Rathlin as a company outright (it only has one asset) or sell the asset and keep the cash in the company, almost certainly along with RBD's direct 16.66% JV share as they effectively control Rathlin. Any offeror would make a decision about whether it wanted the entire 100% (in which case RBD would approach UJO to become a party to the sale) OR whether it wanted to play hardball and just acquire Rathlin and RBD'd 83.3% stake (essentially joined) and then subsequently burn off the minority partner, through accelerated spending and development activity.
So the route that is taken is controlled by the company making the offer...not the partners. No one has a right to block any sale nor any right to participate in one.
