Good question - given we don’t have sight of a development plan, no. Given that they don’t stick to their plans in the slightest anyhow - no. I do agree though there will be a placing.
Just as a final point - we didn’t get free shares, we bought this tech when we bought Tils- definitely wasn’t free.
Accustem were given (iirc) £3m to tide them over while the unlinking from TILS took place. This is nearing completion.
A placing is inevitable as they need money to survive and develop/market the product.
What amount is reasonable is another matter, and what we feel is fair to those of us with free shares is yet another matter.
The thing we need to be mulling over is If you were offered a guaranteed number of shares according to your holding would you throw more of your hard-earned at it??
I for one wish the focus returns to the science and not this corporate reorg that agreed has not been pretty for us UK shareholders....hopefully the science will be the ultimate winner here. GLA
£1 a share meaning uk equivalent, so essentially £20 a share after consolidation.
The MCAP is all that matters if there is no dilution. The share price is totally irrelevant
BoNidel... First there's absolutely no reason to be rude. If my calculations are wrong. Great
I'm only going off the link posted where it appears to state 150m new shares. If 20 old shares = 1 new shares that's where my assumption comes from
At £1 a new share am I happy. Not at all. Is it better than what we have now. Of course. But it in no way reflects what I thought .... when first offered free share 1 for 1 tils and its tils that led me to believe on the value of tils and accustem
I can’t see the necessity of 95% dilution. If there was a 150m placing I’m guessing it would be in the form of 20/1 so 7.5m shares. That would be 50% dilution but depending on what they raise at is of more importance to me. If they raise @ £10 a share uk equivalent (£75m) then we have still had 50p for example per Accustem share. giving an MCAP of £170m.
Maybe they will place @ £1 a share uk equiv so for example £340m MCAP. I would be over the moon @ £1 a share (although I may be dreaming).
150m placing if filled in one go would dilute Accustem but who cares the value is there?
All we can hope is something happens soon.
There will be just over 9m shares in issue (after 1 for 20 consolidation).
The board have the authority to issue up to 150m shares - That would equate to 3b old shares.
I think that's what Chugz is alluding too.
We gave the BoD permission at the recent meeting.

What in earth are you talking about? Are you that I’ll informed & honestly investing money in something that you don’t understand. Unless there is a placing, your percentage ownership in the company hasn’t changed. And if there were 150m uk shares in issue, there aren’t now 3B, there will be 7,500,000.
So my hope when originally going for these "free" shares that at somepoint my 15000 shares could be worth £2-3 each in time so £30-45k. But I now have 750 new accustem which if I'm lucky may scrape £2-3 each... bit of a slap in the face. Given how tils hyped
So 150m new accustem shares is equivalent of 3 billion old shares.
150m x 20 = 3b. Sounds more like a crypto type scam
That's my recollection
Can't remember total number of accustem share. But 1 new for 20 old. Is that correct
I suppose this is progress of a sort. It seems to be to confirm stuff we already know
"This Current Report on Form 8-K is ... giving notice that Accustem Sciences Inc., ...(“New Accustem”), has become the successor issuer to Accustem Sciences Limited, a public limited company incorporated in England... (“Old Accustem”), ... Such succession occurred following the effectiveness, on December 1, 2021 ..., of a United Kingdom court-approved scheme of arrangement (the “Scheme of Arrangement”) in which (i) every 20 ordinary shares, £0.01 par value per share, of Old Accustem ... were exchanged for one share of common stock, $0.001 par value per share, of New Accustem ... and (ii) every 10 Accustem American Depository Shares (“ADS”) representing two Old Accustem Ordinary Shares were exchanged for one New Accustem Common Stock, which resulted in New Accustem becoming the holding company of Old Accustem."
There is some other related info such as
"New Accustem is authorized to issue 150,000,000 shares of common stock, $0.001 par value per share and 10,000,000 shares of preferred stock, $0.001 par value per share."
and other statements relating to the transfer. I'm not reproducing the whole lot here, if anyone wants to read it and see if there is anything else of significance the document is here.
