Tils could do a poison pill.There are more a few ways for a company to avoid a takeover.

Y-Alam, Foralumab was described as the ‘jewel in the crown’, not Milciclib.
That was before Foralumab was considered as a potential Covid treatment so it’s stock has risen some more.
Smoke....in one of the interviews in May Gabriellec stated that stemprint was a takeover target and he did not want Tils to be taken over due to the crown jewel which he stated was Milciclib. The demerger was to prevent takeover. In a later interview he stated that Gilead or any other big pharm may want to buy out Accustem. Anyone who owns tils owns stem so it is not been given away.
Its been a tough week for me missed my trading lol. I for once just sat on the sidelines as i dont want to miss out and the same will happen this week ,but its been so tempting because the price fluctuations have been so predctable,but its better to be in this than out.

I’m personally not taking the chance that stem gets sold before it lists, so at this price I’m staying put.

SmokieUK, in the nicest possible way, I think are missing the point.
Tiziana (The Company) are not “giving away” AccuStem. AccuStem is owned by the Tiziana Shareholders i.e. You (assuming you hold shares in Tiziana) and I, and everyone on this BB, as well as the BoD and institutional investors. All the BoD are doing, on behalf of those shareholders (who voted for this to happen) is moving StemPrinter into another company, which, with the issue of 1 for 1 shares (on a like for like basis) and will still be owned by all the same same shareholders who currently own Tiziana. The intention of doing so is either to growing AccuStem into a viable business OR to sell it, both of which will create value/wealth for existing shareholders.

Smoke, The vast majority of Tils is director owned leaving a very small free float for the mere mortals. Gabrielle alone owns in excess of 64 million shares in Tiziana. Very soon he will also own over 64 million shares in the new company Accustem. Very nice. They aren't giving it away Smokie. They are doubling up, just as we will, albeit on a far smaller scale, but we all benefit from the future success of the new company.
The CEO stated that Accustem will operate as a separate entity to Tiziana and will be a stand alone company. Once demerged, there will be no financial benefit for Tiziana.
The crucial point being is that GC will be the majority shareholder so you can bet your bottom dollar that Accustem will be successful.
@tixianateabagger - how do you expect Tiziana to get the benefits of profits from a company it no longer owns? They couldn't have made it any clearer, if YOU want to benefit from any profits accustem makes in the future, then you need to keep your shares/buy some shares and be a shareholder

It's not a sub and no licensing needed, so I don't see why it should
If any of our American cousins are reading this group chat and are unsure, I think I'm right in saying:
- Accustem had zero balance sheet value this Summer
- It's been proven 45% better than Oncotype DX, bout by Exact for $2.8 billion
- Post the UK and Italian trials, a US investment firm (Wainwright?) has valued this element of TILS's business at $280 million
- the court hearing this week placed a Company value of £4 million ($5.17 million) for the Accustem spin off
- the shares will be unlised after end of October, with UK listing due Nov / Dec 2020
- the plan is for Nasdaq to follow
- every 2 ADR's is equivalent to 1 share. I guess US investors will be allocated on this London basis (but not been specified)
- As soon as the London listing is approved, US investors can buy more London listed shares
Now, if that doesn't sound like a great deal, please let me know. Also, please feel free to correct if I've typos or got the wrong end of the string.
