Sinopoli & Partners advised A1F2 S.r.l., managed by Alessandro Zamboni, CEO and founder of The AvantGarde Group S.p.A., in the repurchase of 100% stake in the The AvantGarde Group S.p.A..
The transaction value is around €91 million.
The company’s services include enterprise performance management, advanced risk modeling, business knowledge orchestration, supervisory model architecture and new ICT enterprise frame-working, enabling customers belonging to different sectors such as banks, insurance companies and other corporates to effectively control the integration of several internal processes and also carry out digital strategic initiatives of their companies.
Sinopoli & Partners advised A1F2 S.r.l. in the acquisition with a team led by partner Liviano Sinopoli (Picture) assisted by Lucia Pietropaolo.
Tonucci & Partners advised IWEP Ltd., one of the sellers of the stakes, with a team composed by partner Piergiorgio Sposato and senior associate Francesco Bianchi.

Thanks for pulling this together. Only a couple of quibbles :
- Global Selection SGR [Global Capital Life asset Management] 1.6bn shares / These are 2 x separate entities, the first is part of Ceresio, the second is the holder of 4.98% and a completely separate entity. See Prospectus and put the 2 x names into google search.
- re 1AF2's transfer out ;.."In July 1AF2 Transferred:
1.6bn shares to High West Capital (Singapore) to help open up Asia?
778m shares to Stock Loan Solutions LLC (nr Salt Lake City) to help with the US?
3,5bn to Union Pacific Capital Ltd (London) to drive UK specific uptake?
(another 15% or so attributable indirectly to AZ?),
attributable to AZ + co.....and posted as security for s/t loans needed/used to indirectly provide 'first loss margin' on the first funding (see AZ proactive interview on 30 July, where he explained the RNS's of 29th ).
I think it's highly unlikely Ceresio is the bank : firstly, they're v conservative, prudently geared and don't lend (see the website); secondly, we were told that the captive bank was 1 of 4 zombies/distressed banks (hence the CB interest in off-loading) and would need re-capitalising post - regulatory approval, which doesn't fit Ceresio's profile either.

Valencia- have you ever seen the movie "layer cake*, brilliant film- but one thing rings true- most things aren't who or what they appear and there is usually a mr/Mrs big behind the scenes.
These companies although headed by AZ may simply be holding companies for the true banking rolling individuals who would obviously rather stay anonymous!
We know about the ties with the Foglias but they won't be the only ones involved (if at all) as these may simply be holding accoubts.
If someone can get access to Orbis reports it would give a detailed breakdown of ownership if available at all

On the face of it of course there appear to be lots of unconnected high net worth individuals and entities owning a slice of the action. On closer inspection though it looks like a narrower band of brothers and sisters driving this forward:
Supply@Me CEO Alessandro Zamboni 8.5bn shares in his name (approx 26% holding)
1AF2 s.r.l - "Sole Administrator" Alessandro Zamboni (23.91% holding - spread across 7 companies?)
Orchestra Group - President Alessandro Zamboni 2.2bn shares (approx 7% holding) which acquired 1.6bn from Ceresio SIM on Aug 18 2020
So safe to say AF's direct and indirect holding looks mighty bigger.
Ceresio Investors - Switzerland which owns:
Ceresio SIM / Banca de Ceresio / Belgrave Capital Management 1.6bn shares / Global Selection SGR [Global Capital Life asset Management] 1.6bn shares / Eurofinleading Fiduciaria 1.5bn shares
So safe to assume Banca de Ceresio is the captive bank but we see others involved in Micky's list

Fin-Eco SIM 109m shares – Again Milan based but they opened a London office in Feb 2020. In the run up to Brexit!?

Here's something on a couple of large holders which I've just found. Maurizio Belli and Emmanuelle Facile (1.2bn shares between them) have co-authored a book on Italian finance a few years back. Literal translation into English is “Credit for SMEs. Please rip it apart and correct but in all honesty none of this is concerning for me and quite a fun job to try and get under the bonnet. If people have time and motivation then finding the connective tissue between all of the directors from all of the above companies that may uncover more but I'm happy and that's all that matters, lol
Conclusions? AZ bigger holding / More than 1 bank / International presence to launch worldwide :)
