Yes, but it can all be done at short notice through the lawyers. Seems a bit clumsy and amateurish to me. And why have all those directors ?
Indeed iPad, given that it is quick and easy to set up a co. it seems likely that they had to set it up (i.e. it had to legally exist) in order for them to execute a step in whatever their strategy is e.g. transferring IP to Zakari or creating a contract between Zakari and another party would require Zakari to legally exist.
Very weird way they have done this. It’s very easy and quick to set up a new company when you actually need it.
No doubt we will find out the reason today.
So why haven't Scancell RNS's the setup of Zakari and the reasons behind it ? Well Cleary they have something in mind (otherwise why set up the co.) but maybe they are weighing up specific options before nailing down their plans and weren't intending to inform the market until they reach that point. However, now that they have inadvertently indicated to the market that they intend to do something with the mAbs it is my opinion that they will need to communicate something to the market quickly.
My take on the reasons behind the setup of Zakari:-
- Scancell know, from their further studies, that the mAbs have significant value
- Scancell also know that whilst the mAb's are 'hidden' amongst the other platform the market is unlikely to ascribe them their true value (IMO the current cap includes little value ascribed to the mAbs)
- Scancell also know that further funding will be required and / or partnerships to take the mAbs through trials etc.
- Therefore, for the above reasons, my opinion is that Scancell intend to spin out the mAbs business and list it in the US (or joint listing) which is where Stifel come in
- The setup of Zakari is a piece in this this jigsaw in that the mAbs IP will be transferred into Zakari and then Zakari will be spun out from Scancell.
All of the above is my speculation and, as Bermudashorts rightly says, may be complete nonsense. If it is accurate (or even close) it would IMO be a very good thing for us shareholders.

Chester. It’s NOT outside. It’s a subsidiary with 1 share owned by Sclp. Ie if you own shares in Sclp you own the same value of any potential new value in this new co. As for why? Move some tech into it and enter into a JV with partner for just that tech? Whatever the reason it can’t be bad IMO. ATB.

But yes, a shell to establish a standalone company for one of the platforms like Avidimab or Moditope perhaps?

What reasons could there be for creating a shell company outside of Scancell ??
It is important to at least have some idea of why it has been created because we all have our hard earned invested in Scancell Holdings PLC.

Edited to add that if the company is sitting there as an inactive shell atm in preparation for any future strategic moves then doesn't it only become price sensitive as and when they implement that strategy (whatever it may be)?
