Jimzi - Yes, that would allow a termination as it would be a material adverse change / usual termination right. You can't pull out of these type of placings just because the business suffers an unfortunate operational issue which does not arise from fraud or force majeure.

What if the BOD were convicted of some criminal offence and had to **** the company - they legally have to cough up?
I use an extreme example to illustrate.
Billion dollar listings can be pulled overnight - sure there are some contracts there.!

They were not locked into the price - there is always a variation clause should circumstances change in the period before completion

Again, please don't shoot! but, given that the placees were locked in, legally, on 8 November, isn't there a risk that they may dump shares once admitted to trading (presumably later today) to claw back some of their equity financing, albeit it at a much lower price? I'm not saying this will happen but would like to hear people's views.

I just bought in when the sp spiked over 50p on Serenity. I got some on the way down at 40/41p etc. Don't know what's being said on twitter but want mention the price pattern. Something similar happened when people paid more on a "normal" trade after the closing auction, but the next day the sp reverted back to the UT price. Thats my only worry. What really happened is that the Serenity drill was removed from the sp. We now know the 35p placing has been confirmed so I expect a good Monday/Week.
Replace duties with obligations.
If you think they were forced to subscribe at 35p, then you don’t know how big business works. Big players dictate; they ain’t dictated to unless there something init for them. Hello, real world

Issue of Equity / Grant of Warrants
i3 Energy plc, an independent oil and gas company with assets and operations in the UK, announces that further to its announcement on 8th November 2019 ('Liberator A2 and Funding Update'), it has now received subscriptions for 14,285,715 new ordinary shares in the Company at 35 pence per share from funds managed by Bybrook Capital LLP.
In addition, BP Oil International Limited, funds managed by Lombard Odier Investment Managers group, and James Caird Asset Management, being the investors other than Bybrook who participated in the Company's May 2019 Junior Loan Notes, all took up their contractual rights to be granted warrants to subscribe for new ordinary shares in the Company (the "New Warrants") in relation to the grant to Bybrook of warrants to subscribe for up to 8 million new ordinary shares in the Company, at an exercise price of 40 pence per share, as announced on 8th November 2019 (the "Bybrook Warrants"). The New Warrants are on the same terms as the Bybrook Warrants and have been granted over 1,503,798 new ordinary shares in the Company.
Application has been made for 14,285,715 new ordinary shares in the Company to be admitted to trading on AIM ("Admission"). Admission is expected to occur on 9th December 2019. Following Admission, the Company will have in issue: 107,719,400 ordinary shares of £0.0001 each, and 5,000 deferred shares of £10.00 each. Shareholders may use this figure of ordinary shares as the denominator by which they are required to notify their interest in, or change to their interest in, the Company under the Disclosure Guidance and Transparency Rules.

Company (the "Placing Shares") at an issue price of 35 pence per share, raising gross proceeds of £5 million. This private placement has been organized by i3 and Bybrook Capital LLP ("Bybrook"), which, alongside certain other investors who participated in i3's May 2019 Junior Loan Notes, should they take up their right to participate, will subscribe for the Placing Shares. Such proceeds will bolster the Company's cash resources as it enters the drilling of the A2 well at Liberator

When i was referring to 10 pence, i was anticipating a second placing required to raise additional money. I'm not deramping at all!
Trendz, the company just raised 5m at 35p. 9/10 times shares always move close to the placing price. Just the way shares work. Im looking to try and get in first thing Monday at 20p if i can.
