The Board believes that the above strategic actions will significantly improve the financial position of the Company, generate committed revenues, materially reduce operating costs and enhance product and customer focus.
Rebranding
Steps have begun to complete a rebranding exercise of the Company and its subsidiaries under the “Launchmycareer” banner and the Company’s name will change to LAUNCHMYCAREER HOLDINGS PLC. A new corporate website will be launched following completion of the unwinding transaction which concluded on 3rd May 2023.
Board and Management changes
Following the unwinding, Ankur Aggarwal has resigned as CEO and Director of the Company. Chris Jeffries, Executive Chairman of the Company is appointed CEO.
Scott Ashby currently interim CFO, is appointed and confirmed as CFO, and appointed a director of the Company with immediate effect.
Chris Jeffries said “the past 12 months have been a difficult time for the Group and without the support of our staff and suppliers we could not have survived. The patience of the shareholders is appreciated. Whilst this transaction releases our ownership of the immersive education STEM library, the board truly believes this will deliver long term benefit, enabling us to maximise shareholder value in the future. The management team are committed to driving forward to position the business and optimise the performance of the new operating divisions. It has been no mean achievement to significantly restructure the Company’s balance sheet and to obtain further working capital. There will be further head winds ahead of us but we will continue to commit to driving the business forward”.
Seized not ceased although maybe ceased is appropriate!!
Yes all may be lost but I do not see why given the circumstances we should all lie down and accept it so the more who complain the better why should they get away with this , had similar before but this is even more blatant changing the name of the company twice issuing new shares when the owners (shareholders ) have not been told and not given the opportunity to trade even at a low amount ...the directors of all these so called companies should be struck off and the assets of the company ceased and sold and distributed to the original owners...us !!!!
Nice one, I received the same response and I know a few others have contacted them. Let's see if we hear anything it really can't do any harm and may trigger some kind of investigation..I know Hargreaves Lansdown haven't been officially been told of the name change.
..Seen ASLR have ditched AIM and are just listed on AQUIS now.
This.
We thank you for taking the time to contact us and we hope that our response to your concerns has been helpful. If however you find that our response has been unsatisfactory and you feel you have grounds to make a complaint against the FCA on this matter, you may wish to refer to our website on how to do so, by clicking here.
If any further information comes to your attention in relation to this matter, please do not hesitate to contact us at primary.market.integrity@fca.org.uk.
Yours sincerely,
Market Integrity Unit
Thank you for your email of 16 May 2023. We have noted the concerns you have raised in respect of Dev Clever Holdings plc (the “Company”).
This matter has been received by the Market Integrity Unit in the Market Oversight Directorate (MO) of the FCA. MO is responsible, among other things, for monitoring issuers’ compliance with the Market Abuse Regulation.
To the extent that the matters you have raised fall within our regulatory remit, we are reviewing the issues that you have brought to our attention with a view to determining whether it is appropriate for us to exercise any of our statutory powers. As part of such reviews we may use the information gathering powers available to us to seek further information from the subjects of the enquiry and reach out to other agencies as appropriate.
If the Company is a public limited company incorporated in England and Wales, it may be that the matter would be of interest to the Companies Investigations team in the Department of Business, Energy and Industrial Strategy (BEIS).
Once we have completed our review, we will consider whether it is appropriate for the FCA to launch a formal investigation via its Enforcement Division, whether some other form of intervention is required or whether the case should be closed with no action. In particular, an important part of our consideration is the potential seriousness of the misconduct.
As noted in our Approach to Enforcement, not all breaches of our rules or requirements constitute serious misconduct, however, where we suspect serious misconduct, we will start an enforcement investigation. We use our experience and judgement to ascertain whether this suspicion exists and there are a number of considerations we take into account when doing so. Chapter 2 of our Approach to Enforcement document provides further detail on these considerations, which include the nature of the actual and potential harm involved; the extent to which the suspected misconduct has or may affect consumers, markets or firms if we do not take action; and the public interest in investigating the matter.
As a matter of policy, we do not provide details to members of the public about the content of our assessments (including where we decide that there are no grounds for further action). Unless our work results in a public disciplinary outcome, the FCA does not comment on these matters. We understand that this can sometimes be frustrating but you can find further information on why we take this approach here.
Please be assured that we take all complaints raised against issuers of securities subject to our rules seriously and we are considering the concerns that you have raised. We will contact you if we have any questions regarding the issues that you have raised and apologise for being unable to provide you with any further details, but we trust that you will understand the reasons for
TBH it would be good for others to do the same and compare responses and raise the issues...it's only an email.
What did they say?
I Got a response from the FCA..anyone else heard anything?
Spks I was trying to be helpful not patronising. Go figure it yourself
When there is no hay in the stable the horses start eating each other. Think this is pretty much the situation here. We have no control, no visibility and there is no one to hear our views. The company is a busted flush so time for us all to move on to pastures new and ignore the remaining horses left in the stable. Goodnight literally.
Since he was Dev Clever’s Corporate Finance adviser at the time of the deal and he is and has been based in Dubai for the duration I do not think conjecture is an appropriate description of my statement!
So the company gets taken private without shareholders voting on the decision….and then when it happens lose all their protection. So who is the person making money out of all this? The legend “Ideas guy that is Chris Jefferies!?”
Yes I have seems now no protection for shareholders !!
Anyone else contacted the FCA about all this?
How will we trade Veative shares on Asset Match when the company is no longer called Veative? Daft comment!
Got your patronising message below so can you explain now how we stand given recent changes as simple as you can :)
No spks, I don't know how to make this any simpler. You already have shares in the new company (your Dev shares will become Veative shares). When Veative shares start trading on asset match you will be able to trade them and the new Veative shareholders that bought shares under the current recapitisation will be able to trade theirs (they are all the same shares). We don't expect the new Veative shares will trade for much.
According to Companies House, yes! The fact that the name of the company has changed and that shareholders don’t know, is a joke. Maybe ‘A Joke LTD’ would have been a more appropriate name!
Okay, so when you said that he was behind all the deals, that was just pure conjecture?
Are we now launch my career ?
Not sure how anyone has managed to make anything here apart from CJ..
Akers and his ASLR is going down the pan along with everything else he pushed..he must have been stoned when he TR1 on ASLR the other week. I remember a time when his buys had an influence on markets but no more it seems.
Anyone else sent of an email to FCA..?
He lives in Dubai
Falconia, any evidence for this guy being involved with Aldebaron ?
Yep that's it Bagzzz everyone invested whose bothered has to email these. If they see an influx regarding the same company they might just have a look.
