Form of Proxy for AGM:
Reports and Accounts 30 December 2018:
how and when do we arrange to meet?
I for one wasn't aware of the AGM meeting and thank you for pointing this out for me. I wish there was an army of people attending on the 23rd and do some serious questioning - because the reality is that they will get away with their agenda of undervaluing the assets and not being challenged. I just wish the scales were balanced for once!
Hoping to be there also. Nice start to the Bank Holiday weekend.
Happy to meet up prior with you FXL5 and anyone else? Will most likely get train down and look to be in the area an hour or two beforehand.
has anyone noticed how much he has paid himself for doing nothing - its a shambles
I think even AGM has been timed in such a way that not many can attend due to Bank Holiday weekend - I will do my utmost to attend - Alex is taking the **** here - I hope all are voting against Alex our lap dog - they guy has no pride and loves to suck up to CB
I can’t find much on the dating of statutory accounts. I cannot see how the AGM can adopt a balance sheet dated 31/12/2018 when the published and filed Balance sheet is dated 30/12/2018. All I can say is a lot can happen in a day.
The stockpile valuations as always are deliberately written down to JORC levels, think this is old ground. As the bumbling pair didn’t conduct the simple task of a JORC for V then no value. Clearly we could have sold the dump material for a considerable sum. We now have to rely on JLP to process and pay the royalty. The problem we have is that Borrelli can use Montezumas Revenge to dilute us. The royalty will quickly disappear down the pan a la Thomas Crapper. Does anyone want to meet up prior to the AGM, we can discuss battle formations and just how Eric can scalp the Borrelli quiff.
Call me cynical (whatever give you that idea) but Vanadium only became RNS worthy once dear leader attempted to buy MTR (with his bid of a handful of change from the side of the sofa) both SP were marked down, just as we were about to have an exercise of 7p Warrants - so with a week or two to go for said Warrants with the SP running low Borrelli puts out an RNS 20/01/17 about Vanadium which pushes SP again. But it was too late, damage was done and the market didn’t see that Borrelli was putting another foot right.
I don’t believe Vanadium was mentioned much of at all after that. Wasn’t like it was valuable or anything.
d) Vanadium Price Rise and Financial Implications for the Company
Metal Bulletin's website is reporting December 2016 trades (Rotterdam, Europe) for V2O5 at circa US$23/kg (earlier estimated at US$15/Kg) and as a consequence the Company has revised upwards the potential long term contribution of V2O5 production to the Company's income stream.
After discounting the current V2O5 price by 10%, illustrated below by gross sales value is its potential contribution to the Company when compared to the theoretical production of Zinc cathodes, Lead Sponge and Zinc Sulphate Heptahydrate over the projected mine life currently estimated at 19 years.
LIFE OF MINE INDICATIVE PRODUCTION TONNAGES AND GROSS SALES VALUES
Zinc Sulphate Heptahydrate
Vanadium pentoxide, V2O5
Note. 18th Jan 2017 LME Zn and Pb cash sale prices.
The calculated production values of metals are indicative and should not be construed as likely revenues to the Company.
I can only assume that because Vanadium was a relatively new concept to BMR it was never mentioned in financial reports. Either that or AB couldn't be bothered to include it. I doubt it was the latter, as our CEO has been nothing short of brilliant, and has never put a foot wrong.
Barno - look at this video from JLP , its telling a different story . Kabwe is a going to be important revenue stream for JLP - so why would / has BMR under value this asset - Could it be CB dictating to AB , ie my Way or No Way !!
my opinion only......the Kabwe assets have probably been significantly undervalued because it fits Borrelli 's agenda. Just like overvaluing them may have done in the past.
The only significant development asset is of course the Kabwe tailings project. The remaining 12.5% has a present value of around £9.6m, based on conservative assumptions., according to the accounts. But the present value appears not to have allowed anything for the vanadium which is expected be produced from the end of 2019. Even at today’s much reduced prices it is likely to be worth more than the return from the lead and zinc combined? Does anyone from BMR Watch know why the present value of the Kabwe tailings development asset has appears to have been significantly undervalued, assuming the vanadium value has not been taken into account?
I hope we can make a weekend of it from Friday 23rd at 1pm. We must find out if it’s show of hands or votes. We certainly need some vocals and a way of getting some value for our hard earned. I notice that Borelli and his slimy cohort can’t even get the AGM notice right. What a pathetic bunch and to think he was entrusted with funds and running a PLC. The accounts we will be adopting are those to 31st December 2018, according to the notice. These are not the accounts submitted or those presented to shareholders. But what’s a day, let’s save it for the AGM just to rub his nose in yet another failing.
Further to my message below. If you have not received anything via post from BMR, please refer to my previous post and use the link to review the resolution documents, which gives instructions and states rules of voting. If you are still unsure of what to do, contact your Broker.
The acquisition is so good and the resolutions so palatable that the board need to threaten shareholders with an undescribed sale.
“We the board as always are acting in shareholders interests just as we were when we sold the co. prime asset for £500k and allowed the buying co. to obtain a near controlling stake in the co.”
Just a bit of information regarding voting if you’re a Barclays or AJ bell customer. This might also apply to other Stock Brokers too.
AJ Bell: I messaged AJ Bell yesterday asking for a letter of representation for the AGM, and for them to vote by proxy for me. They have started drafting a letter for me and informed me that they have posted up a Corporate Action for customers to respond to. This should be live in your account as of today. Use the secure messaging service in your account to instruct them how you wish to vote.
Barclays: By the sounds of it they have not even been informed of the upcoming AGM, but when they receive notification, they reassured me that they will contact BMR shareholders and make them aware of the Corporate Action. In the meantime, you can call them and speak to the Corporate Actions team. You can ask them to vote on your behalf, but be aware, if you are attending the AGM they will tell you to vote there and won’t vote via proxy for you. If you are looking to attend the AGM, just ask them for a letter of representation to allow you to attend and vote on the day. Voting cards will either be sent out in the post or will be provided on the day.
Hope this helps but be aware, if you have not yet received anything in the post I urge you to contact your Broker to ask for copies of the proposals and to ask how you can vote. Check out the link below for documents on the special and ordinary resolutions, as well as the accounts.
Bearing in mind "we are valued at many multiples of our suspension price" already, I would gladly take 4-6 p for my holding as it stands today. Where do I sign ?
Looks like he's threatening to Sell the company if we don't adhere to the proposals ?

Shareholders should have received all documentation for the meetings so please sign and return your proxies; without your support, BMR could not pursue the acquisition, fund raise and re-listing which would result in a necessary sale
The BMR accounts have finally been posted on the website (link below).
How about posting the Circular with notice of AGM too? Perhaps accompanied by a Tweet with the date, time, location etc. extremely poor show when it comes to shareholder communication. Anyone would think they are hoping to keep the AGM under the radar?
Thanks for your responses guys. It seems then that BMR can't even arrange for its own broker to ensure the issuance of the circular to all shareholders. I find that a disgrace, that some of us are still waiting, and, also, those actually in receipt vary as to whether they've received all documentation or just partial documentation, e.g. only the voting forms and no further supporting information.
So Klue, thanks for supplying us with the appropriate full info.
I'm lost for words.
The Circular was sent out early last week so if you haven't received it yet you probably won't receive at all. Check Klueloss' posts on here for a link to access the Circular and accounts. Check my recent posts for information on how to vote if you have not received voting cards in the post. It's important that you act fast if you want to vote.
Nothing here yet either. It's BMR so I'll probably get it 'soon'.
