Amendment to Director Shareholding

XP Power Limited ("the Company") announces that 1,725 ordinary shares of 1p each in the Company ("Ordinary Shares") held by a Pension Fund to which David Hempleman-Adams is a Trustee were sold on 1 September 2011 at a price of 1038.85p each. Consequently, Mr. Hempleman-Adams no longer has an interest in the Ordinary Shares.

On 17 February 2011, James Peters, in his capacity as Trustee of a trust to which his son, Christopher Peters is a beneficiary, transferred 57,500 Ordinary Shares to Christopher Peters for nil consideration. James Peters is therefore currently interested in 2,171,254 Ordinary Shares, representing 11.288% of the Company's issued share capital.
