Circular to Shareholders

Ventus 2 VCT plc (the "Company") announces that it has published a Circular to shareholders recommending a proposal relating to the cancellation of the share premium accounts of the ordinary shares and the "C" shares of the Company.

The Circular also includes a notice of a general meeting of the Company to be held on 22 December 2011 at which the resolution to approve the cancellation of the share premium accounts requires to be approved by 75% of the votes cast.  The Board recommends that shareholders vote in favour of the resolution.
