Tesco PLC

Application has been made for the block listing of 12,500,000 Ordinary Shares of 5 pence each to the Official List of the UK Listing Authority and to trade on the London Stock Exchange's main market for listed securities.

Application has also been made for the admission of these shares to the Official List and to trade on the Main Securities Market of the Irish Stock Exchange.

These shares will be issued pursuant to the Tesco PLC Group Bonus Plan (5,000,000 shares), Performance Share Plan (1,500,000 shares), Tesco PLC Executive Share Option Scheme (1994) Approved (400,000 shares), Unapproved Executive Share Option Scheme (1996) (3,250,000 shares), International Executive Share Option Scheme (1996) (1,000,000 shares) and Discretionary Share Option Plan (2004) (1,350,000 shares).

The shares shall rank equally with the existing issued shares of Tesco PLC.

Dealings are expected to commence on 23 April 2012.
