Share Options

RTC announces the grant of share options over ordinary shares of one penny each in the Company ("New Options") to certain members of the Board and senior management team.  The New Options were granted under the Company's EMI 2001 Share Option Scheme ("EMI Scheme") on 27 January 2012 as follows:

The exercise price of the New Options is nine pence per share, the price offered in the market on 27 January 2012.  The options can be exercised at any time from 27 January 2015 to 26 January 2022.  Assuming exercise in full of the options, they would, in aggregate, represent approximately 7.9 per cent. of the enlarged issued share capital of RTC.

All previously issued options over ordinary shares, both those issued under the unapproved scheme and the EMI Scheme, which all have an exercise price ranging from 39 pence to 96.1 pence (with the weighted average exercise price being 50 pence), have been cancelled with effect from 27 January 2012. 

John White, being the independent director for this matter, having consulted with the Company's nominated adviser, Allenby Capital Limited, considers the option cancellations and grants to be fair and reasonable insofar as the shareholders of RTC are concerned.
