Wm Morrison Supermarkets Plc ("the Company") announces that on 2 July 2012 it purchased through Bank of America Merrill Lynch 1,440,000 ordinary shares at an average price of 265.5541 pence per share. 

These shares will be cancelled.

In accordance with the provisions of Listing Rule 12.6.4 the Company announces that on 2 July 2012 it transferred 13,561,242 ordinary shares from its treasury account. This was for the purpose of an all employee Sharesave scheme.

Following the above, the Company holds 10,242,164 ordinary shares as treasury shares. The total number of ordinary shares in issue is 2,450,831,155 (excluding ordinary shares held as treasury shares). 

The total number of voting rights in the Company, excluding treasury shares, is 2,450,831,155. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Wm Morrison Supermarkets Plc under the FSA's Disclosure and Transparency Rules.
