RESULT OF GENERAL MEETING

Melrose is pleased to announce that at its General Meeting held earlier today, each of the three Special Resolutions was duly passed on a show of hands. Further details of the Special Resolutions are set out in the circular to shareholders published on 23 March 2012.

Details of the proxy votes received prior to the meeting will be made available on the Company's website at www.melroseplc.net.

In accordance with the Company's obligations under Listing Rule 9.6.2, a copy of each of the Special Resolutions will shortly be submitted to the National Storage Mechanism and be available for viewing at www.hemscott.com/nsm.do.

There are currently 390,961,043 Ordinary Shares of 14/55p in Melrose PLC ("Ordinary Shares) in issue. Application has been made for the admission of a further 31,247,969 Ordinary Shares to the Official List of the FSA and to the London Stock Exchange for admission to trading of the Ordinary Shares on its main market for listed securities. It is expected that admission will become effective at 8.00 a.m. on 12 April 2012 and that dealings in the Ordinary Shares will commence at that time.
