Invensys plc notifies that 29,367 Invensys plc ordinary shares of 10p each (28,420 Shares and 947 further Shares representing notional dividend reinvestment) ("the Shares") were released to Victoria Hull, a director of the Company, on 18 June 2012, following vesting of awards granted under the Invensys plc Deferred Share Plan ("the Plan") on 15 March 2010 (over 23,810 shares) and 17 June 2010 (over 4,610 shares) ("the Awards").

On 18 June 2012, Ms Hull sold 15,330 Shares at £2.0106 per Share to meet her tax withholding liabilities.

Following these transactions Mr Hull's total holding is 304,394 Shares (representing 0.04% of the issued share capital).
