DIRECTOR DECLARATION

With reference to the appointment of Ms Victoria Hull as a director of Invensys plc on 29 November 2011, the Company confirms as required under Listing Rule 9.6.13 that there are no details to disclose in respect of Ms Hull in accordance with Listing Rule 9.6.13(1), (2), (4), (5) and (6).

In accordance with Listing Rule 9.6.13(3) the Company confirms that Ms Hull was a Director of Dunlop Plantations Limited, formerly a wholly owned subsidiary of the Company with listed preference stock, which entered Members' Voluntary Liquidation on 9 December 2010.  The listed preference capital of Dunlop Plantations Limited was subsequently de-listed on 17 December 2010.
