Greencore Group plc ("Greencore" or the "Company")

Change in Share Currency Denomination

Subject to approval of the relevant special resolution at the Company's forthcoming annual general meeting on 9 February 2012, the Board announces that the denomination of the Company's Ordinary Shares of EUR 0.01 will be changed to Sterling (GBP) 0.01 at close of business on 10 February 2012. It should therefore be noted that for share dealing purposes the effective date of the change in share denomination is 13 February 2012.

As of 6 December 2011, the reporting currency of Greencore was changed to Sterling (GBP) and going forward, dividends will be declared in Sterling (GBP); existing procedures regarding currency elections will remain in force. Additionally, as of 20 January 2012, Greencore's Ordinary Shares listed on the LSE have been trading in Sterling (GBP) pence rather than in Euro. All of these steps have been put into place as the Company moves to inclusion in the FTSE UK Index Series.
