Merger Update - Adjournment of General Meeting and Timing Update

Glencore announces that at today's General Meeting in connection with the proposed all share merger of equals with Xstrata, an ordinary resolution to adjourn the General Meeting to a time, date and place fixed by the directors and notified to the members was approved by shareholders.

Glencore expects to hold its adjourned General Meeting on 7 September 2012. In accordance with Glencore's articles, notice of the adjourned meeting will be given at least seven clear days in advance.

Glencore intends to publish a supplementary prospectus reflecting the amendments to Management Incentive Arrangements shortly.

The parties expect the Merger to complete early in the fourth quarter, subject to the necessary approvals being in place.
