TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 20 July 2012 it transferred 4,125 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 436.32 pence.

Following the transfer of these shares, the Company holds 3,508,521 of its ordinary shares in treasury and has 147,072,792 ordinary shares in issue (excluding treasury shares).
