Share Allotment, Director Shareholdings & Total Voting Rights

Today the Company allotted 205,000 new ordinary shares of 20p each ('Ordinary Shares') following the exercise of options under the Animalcare Group plc Executive Share Option Scheme. Group CEO Stephen Wildridge was allotted 200,000 Ordinary Shares following the exercise of options at a price of 57 pence per share. Following this allotment, Mr Wildridge sold 142,000 Ordinary Shares at a price of 163.5p to cover the cost of exercise, associated income tax and other related charges.

Mr Wildridge and Mrs Wildridge also sold a total of 77,000 Ordinary Shares in the Company to James Lambert, Non-executive Chairman, at a price of 163.5p pence per share.

Mr Lambert now has a beneficial interest in 1,364,691 Ordinary Shares representing 6.6 % of the enlarged issued share capital of the Company and Mr Wildridge has a beneficial interest in 200,068 Ordinary Shares representing 0.97 % of the enlarged issued share capital of the Company, and options over a further 200,000 Ordinary Shares.

The Company has also allotted 5,000 new Ordinary Shares to former director Peter Warner following the exercise of options held by him under the Animalcare Group plc Executive Share Option Scheme.  The options were exercised at a price of 97.5 pence per share.

Application has been made to the London Stock Exchange for Admission of the newly allotted shares, which will rank pari passu with existing Ordinary Shares, to be admitted to trading on AIM as soon as is practicable.  

Following the above allotment the Company's issued share capital consists of 20,715,204 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury.

The figure of 20,715,204 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
