[zcifan] ACU's NAV per share = 0.141 $

Read in ZCI's annual report published today page 79.
This is the value at 31/3/2010 by DCF method with a WACC (discounting) of 10% (usual figure in the mining sector).
Since production has dobbled at ACU since May, this figure should already be higher.
This share is really a buy.

I agree with many of your points. For those of us that have been here a while, it makes sense to wait three more weeks for the update from the AGM. My interest surrounds the Thakadu licence expected in July, i presume the news has been held back to coincide with AGM. GLA

[Pincer] For what it's worth

Not posted in a while, I have given up on BB's, so will give a brief note.

Personally I contiue to hold, the price of Copper is still strong, and there is expected to be a shortfall in production next year which could send the price higher still, I could see it well over $4 per lb.

As we should be producing ever increasing amounts of Copper ""The Company does not believe that the operating results for this period of production are at all indicative of those it will achieve over time, after implementing the solutions currently in progress"
Also "The Company's current programme envisages drilling some 8 - 10 new
targets before June 2011, and the Company is establishing a panel of experts to assist it in selecting the most
promising targets." for the longer term

So I don't see any problem with the mining side of things, for those with a bit of patience.

As for ZCI, I don't see them buying the rest of ACU that they don't own, or taking it private, I have seen no evidence to suggest otherwise, though you can never rule it out, If they did it would certainly be substantially higher than the present SP.
Everyhting I have read has suggested they want to keep ACU as a seperate entity, though things can change.

As to the depressed sp, most small caps have depressed sp's at the moment.

I would expect news of Thakuda on 24th, though I will be facinated to see what production figures are, pre Thakuda, and also to see what revenues will be.

These are my opinions, people should invest their money on their opinions.

[zcifan] you are right

in spite of the rumours and even press articles in France i agree with you that it might not be the good choice for zci to delist ACU whose NAV must be around 10p presently. Your arguments are good.
ZCI 's strategy is to take over other mines (according to the Chairman) and they'd better find in near future new major investors once recovery of ACU is confirmed. They can also monitor easily the SP...
It is true that ZCI must simplify its structure but another good way out would be to delist ZCI itself from the JSE(almost no trading at all) and Euronext. The main shareholder of ZCI (CDF) already owns 75%.
We should know more shortly (AGM's)

[Alphavol] Strategy

In my humble opinion ACU will not go private for the following reason. Let s say if ZCI control 90% of outstanding shares I would leave the rest trade and bring share price closer to its true value based on concrete positive developments (my objective being to maximize the price I could sell ACU one day). Let's say that the price is down the road 70p (most of you got out 12p unfortunately) then negotiations with a major will bring the final price 20-30% even higher. There will be no war since +90% is under control. No point for ZCI going private because there is then a higher chance they will get less for the final price. I feel we should wait, accumulate or average at these levels if possible. I wonder how much is worth ACU for a major? Good luck to all.

[lx1974] Also

Another point, i think, is that there need to be shares available on the open market to move the share price. The share price is a reflection of the value of the company but also to a large extent supply and demand of shares influence the share price. So if they buy us out they will have to release the shares again immediately. I cannot see why they would do it that way. Keep 10% on the open market, let the share price go up, and then sell out or release their own shares slowly would be my guess. But this is only my optimistic opinion.

[Alphavol] Going Private no point

ACU is currently way too cheap as we all know. I feel the best way for ZCI to make an outstanding return is to increase current holding to 90% at 1p cost price (I believe it was their plan to get more cheap shares). Then push asap for full production and get the other licence. If done within the next 6 months they will sell ACU to a major at a price well above anyone expectations. Does someone have calculated what is worth ACU proven copper reserve at current copper price, inclusive a premium for potential mine life extention, and licence granted on the latest prospect?? Then we can set a target or what a major would be willing to pay. Really no point for ZCI to make it private at 4p and miss the jackpot.

they will convert the loan as shares becoz they knows they are getting this at a very cheap price plus they found loan repayments putting ACU recovery to a halt ..delaying everything..ZCI wants acu to be fit as soon as possible. according to the RNS and their plan all the development construction to the site will be finished by march 2011 so they will get the summer seanson to monitor the full production which mean they hav time till next AGM which is on sep 2011. so I believe they wont do anything before they see the acutual production. IMO.....any thoughts??

[lx1974] Something to concider?

Had this thought this morning and it goes like this:
ZCI puts X amount into ACU which they convert into shares. They get the shares at 1p, so at current value they get 1:4 leverage. So it is much more profitable for them to keep the company listed and increase production to push up the share price. If they take the company private the leverage falls away and it will take them longer to recuperate the amount they invested.

[zcifan] TAKE OVER

I don't know precisely the rules of AIM but i would be very surprised that ZCI might delist ACU while owning only 90% and leave the minority aside; in my opinion the minor share holders are protected. On the JSE for instance (the primary listing of ZCI) a company is obliged to buy back minorities (at the NAV minimum) if they want to delist their subsidiary. And also i am pretty sure that ZCI made some kind of commitments towards ACU when they won the deal and took over the 82%.
If anyone can check the rules on AIM it would be great.

[PostMaster] 3rd

Reverse Stock Split
This pertains to reconfiguring the company's share distribution and structure. Under this method, shares become part of a block, and each block becomes equivalent to 1 share. For instance, 1,000 shares are lumped and converted to only 1 share. Thus, this method leads to a reduction in the company's total number of shares.

A reverse stock split also leads to a reduction in the total number of shareholders. Shareholders who do not own enough shares to form a block of shares can no longer become shareholders in the newly restructured company. These shareholders are paid cash for their shares, using the current going rate for the company's stocks.

The easiest way to reduce the number of shareholders is to increase specific individual shareholders' stake in the company. In other words, if one or more of the shareholders buy the shares of other shareholders, company ownership becomes concentrated into the hands of a fewer number of people.

I think as ZCI own in excess of 80% any resolution will be passed as they have the majority vote

in my thought .shareholders will not aprrove the additional share issue to ZCI as that will give ZCI over 90% holding which means they can take the company private without any agreed price with stock holders, so I think ZCI will have to buy out the rest if cant make over 90%. and the mionor share holders knows that ...if they aprrove it they will lose the right for negotiation. ther AGM meeting is mainly setup for ZCI...I can understant that the agenda is being prepared in of favour of ZCI....anyway all depends on the monor holder, if they dont give the aproval then we could see 10+ IMO. thanks...

I dont know ZCIFAN reckons that ACI will buy the rest of what they dont own and 14p has been mentioned, but I dont think they need to do that as they own enough I think to delist it anyway and take it private leaving PI's with shares in a private company that will be difficult to trade.

I have been in the same situation twice before, the first I had Man Utd shares when the Glazers took over and they purchased te entire share capital, the second I owned Sheffield United shares (team I support) and the director held over 80% of the shares and he just delisted from AIM and took it private and now I can only trade the shares on matching basis through a stockbroker. So I dont really know what the rules are and whether if taking a company private you are obliged to purchase the outstanding shares.

on the agneda..to my understanding are they talking about getting the aproval from shareholders which will give the directors the authority for issuing more new share to ZCI for an exchange of money right???

I have just read the agenda and it looks they are reserving the right to issue more shares presumably to ZCI and the last part reminds us that ZCI have right to convert its loan facility into ordinary shares which will take their holding to 90% on top of the new resolution (by my calculations if they all happen then we will have 1,616,765,650 shares in issue, which ZCI will hold just over 90%) and as they currently hold 80%+ the vote will go through.

My other concern is that they have enough holding to take the Company private (if they wish) and we will be left with squat apart from shares in a Company that are no longer publicly traded.
