I would never have joined Woodford funds but I did look at his portfolio and liked the look of Breedon. Once various clouds of dust have settled I think the share will do well...GLA

RE: Woodford effect
10 Jun '19
He has sold Breedon. He is a forced seller and that normally has a detrimental effect on the target company (Breedon) unless the acquirer (St James Place) is seen as a beneficial holder, e.g. an activist investor.

It was widely reported that Woodford has been selling down his portfolio to resolve his fund liquidity problems. An RNS on Friday said Woodford had sold down from a 6.8% holding here to below 5%. I'd worked out that as his holding had dropped out of the top ten he had sold at least 74m taking the holding to below 41m. The RNS on St James seems to confirm this with their 6.4% holding of 107m. Essentially, the 114m holding with Woodford has transferred to a 107m holding with St James and the balance 7m still with Woodford or other parties.

I know that St James has 'divorced' itself from Woodford funds but I have no idea how that leads to St James taking a holding here. I view St James as a passive investor so neutral in that sense.

Can you imagine what the Breedon BOD are thinking? They implement a strategy to liquidate Peter Tom's 20m sale - not unexpected for a retiring chairman, so I read nothing into that - only to be hit by a 114m bombshell from Woodford. Such liquidity events are good news if you're looking to get into Breedon and bad news if you're looking to get out.

In the near term I'd expect the fundamentals of the Breedon business to return as the primary factor in the valuation of Breedon rather than the woes of a fund manager.

My near term interest is in the interims due to be announced next month.

I wasn't clear on the reason for this mornings announcement that Peter Tom was selling his shares and the detail of the new chairman's intent to purchase 10m and perhaps the rest at 72p.

But it now looks to me like an exercise in managing the transfer with minimal disruption in the market. Breedon shares are not a very liquid market and dropping 22m shares onto it would cause some indigestion. I noted this a few years back when a founding director sold 5m in the conventional way through brokers. The SP took a significant hit and it was several weeks before the share price recovered - I remember adding to my holding at the time.

I understand today's news to mean that 10m have been taken by the new chairman and the balance of 12m are available to other large shareholders at a price of 72p to widen the share holder base but if none come forward then he new chairman will take the balance too.

As of 10:24 21.4m shares have gone through the market at 72p, and I can sell my shares at 73p down 0.8p on the day.

At this moment, it seems to me that the transaction of clearing a large director's sale has been well managed.

RE: Performance share awards

Qd22, you're welcome.

Your query prompted me to look in detail as I hadn't looked at this aspect of Breedon for a couple of years. In conclusion I was relaxed with what I found. I have a habit of recording my analysis for future review, and, as on this occasion, sometimes post my findings.

The basis for LLP awards rarely gets a mention in the investment press but it can reveal a lot about a company's prospects. Make no mistake once the founders have moved on the managers left in place are driven by the financial rewards and the annual bonus and LLP rewards provide the biggest incentive. While many of the targets are historic, they can still provide guidance and as important tell you what aspects of the business carry the greatest incentives. I have see some perverse incentives which have led to poor or conflicting outcomes - so worth watching as an investor. Traders will have different time horizons.
