Now we know why the teo has been issued, this will be given to the RF along with independant valuation of the asset, when they see its being sold significantly under the value the russian will give authority.
Both amc and svidlov company are listed in cypress, so wouldnt be issue with funds.

It's the way things work in Russia, they have a skewed view that if they pay for something the deal was legitimate, regardless of how little they pay! As Maestro says have a look at the way all the previous oil and gas deals were structured. There's a brilliant BBC doc on it too. Also the way it's structured there is no grey area with regards to future legal action.
There's no way Sbivlov will come back with an increased offer, it just isn't the Russian way, it will be LESS or ZERO.

He is officially said this is his last offer, it would be rather embarrassing if he were to make another offer, his reputation for future negotiations with other parties will be weaker.
Its simple, this offer or nothing.. lets see what happens.
Kinross russian assets were worth over 1bn, in the end he got em for 340m, we have an asset worth 100m and we think we can get more.. doubt it... its russia

Svidlov will get KM whether shareholders like it or not.
Should it goto auction he will be the only bidder and probably get it cheaper than 35m.
You are not dealing with western country but a russian one.
We have been done over, if the asset is so cheap svidlov and his proxys could purchase £700k worth of shares and rig the vote in their favor.
I will very surprised this ever gets over 1.8p should it be rejected. Remember we are in russia where $250bn has been stolen from west.

Now lets put our buyer hat on for a second. If, like you have suggested Svidlov will wait until AMC is bust if this is rejected and there will be no other offers from other parties. Why would he make the offer in the first place, surely the smartest move for him would be to just wait it out? He'll get a better deal.
This is now his second offer. He improved the payment terms after we rejected the first offer and heavily discounted the offer price. Is it conceivable he is looking to buy this on the cheap due to current circumstances and has offered RY a nice golden parachute to walk off into the sunset with post this deal being accepted? is it conceivable he will make an improved offer if we reject on the principal that the offer price is ridiculous?
Everyone will make their own decision on these questions.
All IMO and based on my own circumstances.
If AMC go bust or are nationalised then there is no guarantee that Svidlov will get our assets and he knows it.
He's in a good position because his rival suitors pulled out but he wants this wrapped up pronto.
Rns clearly say no one else come forward, no other offers being considered.
Svidlov is offering his last offer, which to me suggest that he will wait it out until amc is bust should they reject.
Proxys can easily win the vote, just how much did they buy?

No-one can disagree that the situation is currently dire. All of the companies you have stated who are moving out of russia are large international businesses that can move in and out of a county without materially damaging the overall business. Moving out of russia will not end Coca Cola, Mc Ds etc... Due to the situation in Russia presently it is best for these western companies to show they do not support Russia in their "special military operation" and rightly so.
Look how the world has changed in their view of russia in 6 months, no-one knows what the world will look like in another 6 or 12 months. Yes, it could be worse than today, but it could also be better. What your view is on this will ultimately decide whether you believe this is a good deal or not.
I do not believe we should be selling at the worst time and at the heavily discounted price presented to us. I think after this winter, the West and mother Russia will feel enough hurt and a deal will be struck to end it all. Purely based on the theory that it will cost both sides too much money to continue.
I'm happier to reject and wait for an improved offer.
Again, purely my own opinion, and entirely based on my own circumstances.
I hold just over 4 million shares and have reluctantly voted YES.

Kinross sold its asset for around 25% value too.
Getting ahead of yourself, only 22% voted last time as the rest didnt care. Will the no's get 15% again?
Like i said if this was a stitch up, svidlov proxys could buy 60m shares and take out the ones with tunnel vision. Amc can lose the license as they have said they cant progress without funding. West are not allowed to invest in russia due to sanctions and i suspect alot will not want to.
Vote yes is the wise thing to do..
I think there is general consensus on the board that RY has never shown that shareholder value is his number 1 priority. There was general agreement that the last deal was structured in such a way that he would continue to be bank rolled for 10-15 years whilst the shareholder dividends of the deal on the table were not able to be specifically identified in that period.
As CEO, he is our representative on our side of the table for any negotiations with a potential buyer (in that case it was Mr Vladislav Sviblov of Stanmix Holding Ltd), so he will have had some input, directly or indirectly into how that deal was structured and presented to shareholders.
RY and the Board recommended shareholders vote in favour of this deal (See RNS dated 9th May).
That deal was rightly rejected.
I do not believe the rhetoric being spouted now about this being the last chance saloon and the imminent nationalisation (which he admits in Proactive interview (7:30), that there are news articles he's read that show a list of about 40 companies that DOES NOT include AMC that state these companies COULD lose their assets through nationalisation).
I am not convinced that RY when sitting across the same table with the SAME potential buyer (Mr. Vladislav Sviblov of Bering Metals LLC) has our best interests at the fore front of his mind when having conversations about how to present this to shareholders.

No a Nazi isn't necessarily a fascist. It all depends on your definition of fascist. The Nazi's looked back to an ancient paganism to justify what they believed was their exceptionalism. Classical fascism was progressive in its outlook, anti-conservative , modernist. The Futurist's manifesto more accurately describes fascism than anything else. The Nazi's were none of these things. Mussolini's fascism had more in common with Lenin's communism than it did with the Nazi's in Germany. It was Stalin who managed to tar fascism as an extreme right wing political ideology when in fact Mussolini was a socialist and the Nazis a national socialist party. Fascism, depending on which definition you use, describes Stalin or Putin's Russia far more accurately than it does Nazi Germany. Nazi Germany is in a category all of its own.

I doubt anybody on here could accurately define fascist. Academics can't even agree on a definition and there's even doubt as to whether Nazi Germany was a fascist state. It has been convincingly argued that it would be more accurate to describe Nazi Germany as being driven by a white supremacist ideology. Mussolini's Italy, Franco's Spain and even Portugal's Zalazar were fascist or neo fascists but none of them shared the same ******, antisemitic or anti religious ideology that underpinned Nazi thinking.
The term fascist gets thrown around as a universal pejorative. Even the father of fascism, Mussolini, is guilty of that. He called Stalin "a Red fascist". Hardly surprise given fascism's many similarities to communism.
