What is happening?
The Boards of Modern Water plc and DeepVerge plc have announced that they have reached agreement on the terms of a recommended offer, by DeepVerge plc, for the entire issued share capital of Modern Water plc. As a holder of Modern Water plc Shares within your Hargreaves Lansdown account you need to decide whether you wish to accept the Offer or not.
What are my choices?
Option 1 - You can accept the Offer. Under the terms of this Offer Modern Water plc Shareholders have been offered 1 DeepVerge plc Share for every 10 Modern Water plc Shares held.
Option 2 - The alternative is to do nothing. If you do not wish to participate in this Offer you are not required to take any action at this time.
When do I have to decide by?
Any acceptance must be received in this office by noon on Monday 2 November 2020. If you return an acceptance by the deadline given, and the Offer is declared “wholly unconditional” (i.e. is successful), the resulting cash will be credited to your account within 14 days of the announcement.
Full details of this event will be sent to Qualifying Hargreaves Lansdown Clients by either post or secure message. Please note that any instruction you give must be based on the full details provided in the secure message/letter and not on the summary information outlined above.
This is what is stated on the offer Through HL
You should have a message telling you what to do. There should be a dark blue option not normally there to the left of the deal option which comes up with a message. Scroll all the way to the bottom and there is an accept button. There's no do not accept, that's just do nothing. Click the accept and your holding goes to 0.00 which means it's committed to the offer and you can no longer sell them. That's all. If you don't have it try contacting HL rather than post on a bulletin board.
I urge holders here to atleast vote............!
"My bad.............!
I've just been updated via another media outlet, that a 3rd option is available on HL..........!
which is do nothing, a your MWG shares will be sold............!
Anyone ........? this is not the norm IMO, and who is buying 'em exactly ..........?
All the best (tells a story if so............. :()"
All the best (someone want's your shares...............! )
Thanks Peter, done that . Good luck to you too.
Best to post any questions on Deepverge LSE chat as not many posters now using this Modern Water link. GLA
Please can anyone help ? I hold my share in HL. What they seem to be offering, if I accept, is that my MWG shares will be sold and I’ll have the cash in 14 days. There doesn’t seem to be an option to go for the 1:10 DeepVerge shares, which is my preference. Anyone know how I can do that ? Thanks.
Is it a sales pitch or news. Either way doesn't matter I guess.

I bought MWG at 3p today, because DVRG was over 30p. When DVRG is cheaper, I buy that.
I know other investors who do the same.
The SPs have been pretty much linked since the bid announcement. Corporate action became possible to accept on HL at 15:49 yesterday. I accepted for my small holding. Once we get through early November there will be a bit or merging time and a bit of consolidation of corporate functions tasks which might take a few months just due to legal consultation periods but hopefully the work will push on during that period and we should see some positive movement on the SP over the next 6 months. Not expecting a sudden rise once the merger is accepted but perhaps a steadier increase.
Was having the very same thought. The merger is holding back the SP for both companies.
Will MWG get a slice of the action?

Looks like we are being held back so we don't go over 10% of DVRG, otherwise the 1 for 10 would be a farce!
Currently on 22nd Oct 3.08% of shareholders have accepted the offer
Just accepted the takeover offer on HL.
So hopefully it all gets agreed then we can move onwards and upwards
All the best to all who is invested
I have a note on my HL account - corporate offer - to tick the box to accept, by Nov 2nd.
So I can progress.
Cheers

hsbc got my letter to me today and I already did it online as it was the easy and fastest way.
I loaded £10k at 2.5p this is heading back to 4p v. Soon
Corporate actions page now update for those with Halifax. Nice and easy tick a box and confirm option.
Please ensure you submit your option before 29 October 2020 23:59 to enable us to process your instruction in
accordance with the Company's current published timetable for this event. This timetable may change as explained
above.
Received a message back from HL that they will be issuing correspondence in the next 5 days - so we should know what the required actions are then. I’ll chase if I don’t hear anything.
Will try one more time and see if anyone can kindly explain this to me. From 1.1 (pasted below). Does this mean that we need 90% of shareholders to agree for it to pass? Or is it 50%. If 90% then surely the risk is high, or am I missing something !
1.1 Acceptance condition
Valid acceptances of the Offer being received (and not, where permitted, withdrawn) by not later than 1.00 p.m. (London time) on the First Closing Date (or such later time(s) and/or date(s) as Integumen may, subject to the rules of the Code or with the consent of the Panel, decide) in respect of Modern Water Shares which, together with all other Modern Water Shares acquired by Integumen (whether pursuant to the Offer or otherwise), will result in Integumen, and any other person acting in concert with Integumen, holding in aggregate not less than 90 per cent. (or such lower percentage as Integumen may decide) in nominal value of the Modern Water Shares to which the Offer relates and of the voting rights attached to those shares, provided that this Condition will not be satisfied unless Integumen and/or any of its associates shall have acquired or agreed to acquire (whether pursuant to the Offer or otherwise) Modern Water Shares carrying in aggregate more than 50 per cent. of the voting rights then normally exercisable at general meetings of Modern Water, including for this purpose (except to the extent otherwise agreed by the Panel), any voting rights attaching to any Modern Water Shares which are unconditionally allotted or issued before the Offer becomes or is declared unconditional as to acceptances (whether pursuant to the exercise of outstanding conversion or subscription rights or otherwise). For the purposes of this Condition 1.1:
