If i remember the letter i got a few weeks ago said i would get £1.55 per share in my bank on 6th February, so i'll see tomorrow, hope i've not read it incorrectly.

If the take-over falls through for any reason the SP could go either way, so you may yet make a few pounds. I have held shares in other companies that have been involved in take overs and in some instances the share is suspended and it can take many months before you get your money for the shares.

Being the eternal optimist I am holding my shares just in case.

Hi Fitter thank you so much for the info ,Yes i agree 220 would be better all round but i have £2,000 in mec& right now the sell price is 152 so i will lose out anyway with 155 per share is far to low!! so yet more losses for me.I wish you atb&better luck going forward!!Thanx Again for your reply.

As far as I recall, but hold me to this, MEC accepted an offer of 155 per share as a take-over price. Many shareholders including myself thought this to be a bit low, I would have said about 220 would have been a better price. The sell-out was more or less agreed but they then ran into difficulties and had to apply for some kind of licence before the takeover/merger could go ahead. Based on yesterday’s announcement it looks like the way has been cleared for the merger to take place.

So if you have already got shares in MEC in a few weeks’ time they will be taken off you and you will be given 155 per share regardless what you paid for them. If you haven’t yet got any shares it probably ain’t worth buying any at todays price.

Hmmm, may not happen yet:

The Boards of De Persgroep Publishing N.V. ("De Persgroep Publishing") and Mecom Group plc ("Mecom") note today's announcement by the Dutch Competition Authority (the "ACM") in respect of the recommended cash offer announced on 30 June 2014 by De Persgroep Publishing for the entire issued and to be issued share capital of Mecom (the "Transaction").

On 1 September 2014, the Transaction was approved by Mecom Shareholders at the Court Meeting of Scheme Shareholders.

The ACM has come to the conclusion that the proposed Transaction requires further investigation. As a result, the Transaction will require a licence under the Dutch Competition Act (the "DCA"). It is a Condition of the Transaction that, having decided that such a licence is required, the ACM does in fact grant the licence under the DCA. In its decision, the ACM concluded, after conducting a preliminary investigation in the notification phase of the Transaction, that the Transaction might possibly impede competition in three out of the four relevant markets which it has examined (namely, the markets for printing of newspapers, distribution of newspapers and advertisement space in newspapers) and will therefore examine any potential issues further in a second phase investigation. The ACM decided that the Transaction will have no effect on competition in respect of the readers market for (national and regional) daily newspapers. It will thus leave the readers' market outside the scope of the second phase investigation.

De Persgroep Publishing will make the necessary licence application to the ACM shortly, following which the ACM will have a period of up to 13 weeks to decide whether it will grant the licence in relation to the Transaction. It should be noted that the 13 week review period for the licensing phase can be suspended as a result of requests by the ACM for additional information. De Persgroep N.V. ("De Persgroep") and Mecom therefore expect a final decision from the ACM by the end of the year or shortly thereafter.

Would've been nice to have been given the opportunity to vote...undervalued at £1.55, hardly any debt, steady profit levels. All gone quite on my sharedealing website so know idea on when the cash settlement will be made??

What is happening?
-Scheme of Arrangement
-Effective Date: 2nd September 2014
-Terms: GBP1.55 in cash in exchange for each Mecom Group Share held
-Pay Date: 2nd September 2014
Mecom Group are implementing a cash offer for all of the issued and outstanding Ordinary Shares, effective
from 2nd September 2014.
Under the terms of the Scheme, Holders will be issued with GBP1.55 in cash in exchange for each Mecom
Group Share held. Consequently, Mecom Group will cancel its listing of Ordinary Shares from trading on
London Stock Exchange.
Accounts will be updated upon receipt of the cash from our custodian.

Hi yankie. I'm no expert, and am just reading the documentation, but it seems to be a court sanctioned sell-out which has been sanctioned by the majority of the shareholders, supposedly (I think) to protect share holders capital from insolvency, and allow a merger / sell-off ................ they, the majority, being the BOM and the company. Maybe someone else can explain it to us in 'lay-mans' terms - Im the same as you ............ bought in a few years ago at +330, so am not a happy bunny at all. A share swap etc. I could accept, but as far as I can seen we are being Royally Robbed, IMHO the SP is artificially low at the moment.
