fellow PI's.

I think the name change could serve the company well. But I would much rather they spent the time completing the financial close of Enfield. Share consolidations have never worked in the shareholders favour and to be honest I am considering selling up.

Sorry MrLB, but that's utter nonsense, and insulting. Apart from that, it goes against the evidence of how the share price and volume of trading has reacted to last week's news release. Trying to suggest that there is a cuteness/cleverness to this attempt at "change management" and that earlier SP increases were related to this news instead of the actual news that was released at the time does not reflect well on you.

I think you're mis-reading the situation. The boost back then was not related to this latest news of share consolidation. It was more a reaction to news/RNS at that time. This latest news has only had a negative effect so far. And I would be very concerned about what will happen when/if they consolidate to 50:1 shares, expecting the SP to remain at 50 times current price. I genuinely don't like being negative about this share, but the complete lack of significant progress over the past two/three years has been infuriating. The concept and potential is huge, but senior management seems unable to deliver.

MrLB, I would be interested to hear your reasons for your opinion. I would very much like to see Kedco/REACT thrive and reach its potential, but to say the market already reacted some time ago to this news? The news only came out last Friday, and the share price has dropped since then. Reaction does not seem to be positive. I don't see how this news is positive, but is rather a very large gamble. They are gambling that by consolidating the shares, at the same time the share price will grow 50-fold. I don't think there's a cat-in-hell's chance of that happening, and unfortunately only see the SP being initially re-stated to roughly (0.7p x 50 =) 35p and then dropping from there. This is smoke-and-mirrors stuff, instead of delivering what was promised, which was the planned continuing of getting Newry online and producing 4MW, and the financial close and construction of Enfield. The leadership here has much to answer for.

Hi Phild. This will all become clearer in due course. You will ultimatly have a reduced number of shares in the rebranded newco but what ever your percentatge is today will be the percentage you have in the future. Hope this helps. All this will be backed up with more news and through your broker you may be required to take some actions by specific dates so keep watching. Personally i think its a very positive thing from the company and the market reacted some time ago to this news. So gentle improvement i would expect until next news as more investors get encouraged by the new direction and project pipeline and REACT

Guys as a complete novice in all of this can I pick your brains as to exactly how the capital reorganisation will affect me. I have had shares in Kedco for some time now but I'm not sure what will happen to my investment if the reorganisation goes ahead.

Change of Name
The rationale behind the proposed change of name is to give the business a clearer
identity following its strategic shift towards its core business of Renewable Energy
And Clean Technology (“REACT”).
The Company also therefore proposes to change the name of the Company to

Capital Reorg

The Company has made considerable progress over the past twelve months. The
restructuring of the Group, the acquisition of Reforce Energy Limited and the raising
of finance for ongoing operations and to advance the Group’s project portfolio were
all successfully completed. To reinforce the progress made by the Company during
this period, the Directors believe that it would be appropriate and beneficial to both
the Company and its shareholders to undertake a Capital Reorganisation.

The Board has therefore decided to seek Shareholder approval at the Annual
General Meeting for the Capital Reorganisation. The Capital Reoganisation
comprises firstly a consolidation of the Existing Ordinary Shares (including also the
unissued but authorised existing Ordinary Shares) and secondly a Subdivision of the
Consolidated Shares to create the New Ordinary Shares and the Deferred Shares.
The effect of the Capital Reorganisation is to reduce the number of Ordinary Shares in issue by a multiple of approximately 50 and, accordingly, assuming normal market
conditions, to increase the price at which the New Ordinary Shares will trade to
approximately 50 times the value at which the Existing Ordinary Shares currently
trade.

Enfield Biomass, 12MW CHP, North London
The project has been developed through Enfield Biomass Limited (“EBL”), which is currently 100% owned by Kedco plc. Over Stg£2m invested in the project to date.
It is located on a 1.4 hectare site in Enfield, London.
The project is fully consented having received planning permission from Enfield Borough Council in April 2013.
The project has also received an offer to connect to the distribution network with capacity available in the area.
The company has engaged in discussions with a number of potential large blue chip offtakers for both the electricity and heat which will be generated by the project.
The company announced on 4 June 2013 that it had selected the Foresight Group as the preferred funder and signed heads of terms with them regarding the part financing of the Enfield Biomass project.
On 10 October 2013 Kedco announced MWH Global Inc had been chosen as preferred construction contractor. The selection was made in consultation with Fichtner (engineer for the project) and Foresight Group.
Statkraft Markets GmBH was selected in October 2013 as preferred partner for the purchase of 100% of the electricity generated by the plant.

Kedco

Within this fiscal year KED could be looking at having biomass power generation capacity of 20MW with annualised revenue capacity of £20m and annualised EBITDA capacity of £11m. In Asset Valuation terms that could be worth £60-80m and on EBITDA valuation terms of infrastructure assets 10x EBITDA suggests potential valuation of £110m. (Have to take off any debt to arrive at the Market Cap mind).

My issues are the Balance Sheet looks a bit weak (although as a project financier what is more important is that they sort out the finances of the individual projects rather than have the balance sheet strength at group level ?

They may do a raise at some point to strengthen it though to give them capacity to develop more projects or existing projects faster ?

However in current speculative market in the new/alternative energy space I do think with the right announcements and given the chart breakout above the 200 day MA that it could go on a run with the right catalyst. Achieving financial close on the major Enfield Biomass 12 MW project could be one such catalyst and news on that is due Q4 2013 so next few weeks.

I keep googling about this company, they have many projects going....and a lot of people keep saying that it is undervalued.

However, I pay a lot of attention on financial statements, after all, if a company has a good financial situation, they will still be around even if they miss one or two targets. But if a company's finance is a mess, they are less likely to stand a chance if they miss the target they promised.

The fundamental of this one is sound, but finance is a bit of a mess, I was wondering if I have missed anything important in my analysis that this company could actually make it through the challenging.

I also wonder why they dun do a placing to reduce or sort out their debt?
