Gearing up ready for an imminent bigger company perhaps. Seems eminently sensible to me.

Round peg in a round hole and at the right time for where this company is presently positioned and moving forwards. Excellent CV.

Did I twice catch the mention of the Main List and a Full Listing in the RNs also and it looks like they have been bringing in enough cash to be adding more to the payroll and in strengthening of the board.

A welcome addition.

You don't want to be referred to as a NED in the west of Scotland ... colloquial name for criminals derived from Non-educated delinquent.

A serious point is that PF has been ploughing quite a lonely furrow since 2015 on Iran, and did a good job in the main keeping everything secret and watertight. People have come and gone around him

Not sure how much he seeks others counsel, though he certainly had the blinkers on with SQ

Vander, no it is not correct to say that two NEDs are recommended for small companies.

The small company reference that you refer to was in the old FRC code, which required that at least half of the board should be made up of NEDs, except for small companies that should have at least two NEDs. At least, not only.
That small company exemption was removed when the code was revised in July last year.

That said, WSG applies the QCA code, not the FRC code. The QCA code requires that there should be an appropriate balance between executive and non executive directors, with at least two of those NEDs being independent NEDs.

So with four exec directors and a requirement for at least two INEDs, three NEDs doesn't sound an inappropriate balance.

Two NEDs are recommended for small companies.

The JD recommends that they hold the BoD to account and ensure sound corporate governance. Good emotional IQ, quiet, knowledgeable and determined without being domineering.

The NED who advised on the Iran strategy must have been intermittently mute, and the NED who advised on the Sierra queen must have been missing half their brain

Fun day on here today girls and boys!!!!!

I filtered Bigead and Foxy 3 IDs some time ago; Oddly enough I don't need them in my life!!

Good week all in all, back up above 10p, Fowler has followed through with one of the things he said he would do at the AGM, a heavy hitter finance/city man.

Looks like we should see some news on the SPV fairly soon, the USA remain isolated on the JCPOA, the Iranians resolute in their compliance.

I don't think we will see the Iran contract until the details of and reaction to the SPV has taken place. That will be the 'new norm' so I would have thought it would be prudent to wait for it to land.

At the AGM, in the banter with Fowler, he was quizzed on the ten or more more MOUs and LOIs that were supposed to be up and running at the time. He refused to be drawn but did say, 'there are more than you know...'

One of them, the African MOU looks....close ( please add/replace with your own synonyms! )

Trading update at the end of the month. We know they will smash the 2017 numbers. Training up, SL a bit up, Tech, way up ( I hope/expect margins to be decent here as well)

The main $4.5 million contract has been largely delivered in a timely and efficient manner which should have impressed the client so maybe some hope of more deals there. The company has also stated that there are similar deals in play with other clients.

And there is that recent acquisition for diddly squat money which should add over a million revenue and profits to the bottom line.

If it wasn't for the fact that very few retail believe any more , the SP would be in a very different place. The company has to deliver now to get market recognition via market cap growth. 2019 is the time to follow through and deliver.

Here's hoping, good luck to all share holders.

Bigears, I neither suggested that you would nor should give a hoot about who I work for, in fact I didn't even tell you who. I merely used its metrics as an example (there are many others I could have used) without having to bother looking up the details, in order to demonstrate the ridiculous argument you were trying to put forward.

So, in answer to your question, am I happy to for someone with 30 years' corporate finance experience gained in investment banking, industry and the accounting profession, who provides corporate finance advice to a wide range of clients including Main Market Listed, AIM and private companies and; who has advised on many public company transactions including hostile and recommended takeovers, acquisitions, disposals, equity and debt fund raisings, transfers to the Full List and to AIM, and flotations, with the wealth of contacts as well as the knowledge that brings? Yes I am. Very.

I can confirm they are no Darwin warrants left. And there will not be any in the near future, since Darwin, an US company, it's bound by sanctions to avoid anything to do with Iran.

I don't think you are correct in that MB. I think all of Darwin's warrants have lapsed, the last lot in April 17. HH still have some, which lapse at the beginning of June this year and, whoever the Jan 18 placing was with also took some warrants with a five year life.

I couldn’t give hoot who you work for or what their revenues are .... I’m also aware of the structure of a large company such as ASOS thank you...... my analogy was a simple one.......large successful company = moderate sized bod vs tinpot loss making tiny revenues company = oversized board and growing ......I take your happy with our bod to include the new addition....?

Probably one of the most ridiculous comparisons I have ever read on here Bigears.

To take your example a stage further, consider the organisation I work for. A BoD of 13 heads. Q3 revenues $46bn. Compare that with ASOS 3 months to 30/11 of £0.7bn. So on your metrics, ASOS must be pretty crap.

Maybe it will surprise you to realise that the day to day operations of managing 270,000 employees isn't just carried out by a BoD of 13 heads, there is a whole team of talented highly paid managers below them, as no doubt is the case at ASOS.

There's an old saying, if you have nothing sensible to say, it's best to just shut up and say nothing.

SPV
Sat 14:23
Another snippet to add to the ongoing debate on when the SPV will be announced / in place....

I was watching Dateline London (BBC News) this afternoon and Iran was one of the topics, the Italian commentator suggested that Monday will see an announcement. Maybe, maybe not, not sure she has any real inside info, but seems very close now....and would fit with the last snippet I posted suggesting just days away.

Fingers crossed 8o)

And, according to the last RNS, “everything is in place for the contract to start.”

I must have missed that bit?

Your judgement is out of place, Adjshares. It's like saying we needed new management long BEFORE the projects even started. They've got Iran signed, FFS! And, according to the last RNS, everything is in place for the contract to start. Now is the time to grow.
