It's obvious that PB was never going to cover the sensitive information in the article. However, the debt restructure is complete but not release yet imo.

So do not worry about this refinance.

Trout - I think you're well aware of what I mean.

Given that a lot of focus, post results was on the Hermes arrangement and lowering the exorbitant rate on this i thought that an update may have been discussed with this. From many posts over the last week this has been one of the major points raised.

I don't see why you take everything as a deramp ? My point was more at TMS not covering this than any criticism of the company.

As a long term holder , I have no reason to deramp. It is ok to ask questions sometimes though.

I presume win4 is referring to this?

‘1. The debtor financing and this is at a high level and needs to be refinanced. There is a total of $9.6m in these facilities for BPH and MRSSG. However this is an invoice finance facility, so the amount can change all the time, They are basically factoring invoices in advance at a certain rate and that rate is high.’

I think win4call said 'debt refinancing', can he/she perhaps explain in detail what debt refinancing they are talking about?
In the rush to try and deramp they garbled their posting,
"There doesn't appear to have been any mention of debt refinancing. I thought that would've been the major issue though raise ahead of cash and Nomad?"

Sorry but what does that actually mean????

All Quiet on the Western Front

Personally I don't find the word "expect" as reassuring as "will". But it all depends how we all choose to read and interpret language.

Also, "early"(in the next year) said PB - well, it'd better be early in the new year, because the deadline's running out at the end of Jan! Do u c what I mean??!!! How on earth, given the context, can PB's expecting to do it early in the new year be seen to be reassuring. I'm sorry, but until the deed's actually done, seeking reassurances is about as convincing as Theresa May.

RE: Very Quiet on here
Thu 12:47
It is very quiet and PB's words are re-assuring enough.

We now need to see the official fruition of some of these promises and restore a bit of faith. I added a bit more this morning, predicting the bottom of any AIM stock is tough, especially when there are known sellers, but i cant believe that we can drop much lower and hopefully a few good news stories gets this back where i feel it should be.

Very Quiet on here
Thu 12:29
Seem very quiet today, is that down to the CEO's interview and the buyers coming back in?
With just 1,331 shares sold today, it looks like the 'worriers' have now sold up and disappeared.....

Short term outlook
Thu 11:13
Speaking to Total Market Solutions, Brenton echoes this optimism. He says that the market can expect more deals and contracts on the horizon. This comes weeks after MRS announced that its services arm had secured a six-month contract to refurbish six excavators.

‘There will be a steady stream of contracts and work. As we move up to Christmas we are preparing for a lot of work, and much of it will start to be awarded between now and early 2019. We want to expand outside the Hunter Valley as well. There is quite a lot of opportunity to extend our footprint, which is what I am currently focusing on. Meanwhile, we are excited to deliver even more value for shareholders in the current financial year.’

NOMAD
Thu 11:12
"Another possible red flag could have been the absence of an update on MRS’s nomad situation. Last month saw the company announce that Northland had ‘voluntarily agreed to relinquish’ its nomad status. MRS has until 1 February 2019 to find a new nomad or risk the suspension of its shares. However, Brenton tells us that MRS has made steady progress here. He expects the company to announce an update early in the next calendar year."

Cash figure
Thu 11:11
"One figure that may have caused some concern is MRS’s cash position, which came in at $50,000 on 31 (sic) June 2018. Brenton says this does not reflect the company’s financial health because cash fluctuates every week. As a result, this figures only provides a snapshot of time from around five months ago.

‘Our cash might look tight on the week of reporting, but we run a capital business. This means we have lots of equipment and a weekly payroll. As a result, our cash at bank balance fluctuates on a weekly basis anywhere from a couple of hundred thousand dollars to a couple of million dollars from week-to-week. As we are paying weekly, money is continuously coming in and out the door. For a growing business with capital equipment, cash management is a full-time part of the role, so we are very much on top of it.’"

MRSSG
Thu 11:09
"To recap, MRS Services Group operates in Hunter Valley, New South Wales, where it offers a wide range of mining services. These include equipment repair, refurbishment and fabrication, mine rehabilitation, earthmoving, and road construction. It serves many types of clients. However, it currently makes around 90pc of its turnover from blue-chips like Rio Tinto, BHP, and Glencore"
"As a result, the period has been the first full year of contribution from the subsidiary. Indeed, it generated net profit after tax of A$5m on revenues of A$46.2m. This compares to a net loss after tax of $7.4m over nine months in 2017."

Greenhills,
When a NOMAD resigns a Company has one month to find a new NOMAD or the shares get suspended for one month and after that they get delisted.
This is slightly different as the NOMAD is being taken over by another and has relinquished it's NOMAD status. There has been ample warning to get a new NOMAD in Place and I have no doubt MRS will be able to do that. However as I said earlier there are up to 48 other Companies looking for a new NOMAD at the same time (SP Angel is taking some on but they cannot guarantee the 'merger' will go through so they have had to issue the same warnings in their RNSs) , so they aren't going to get DD done in record quick time. That's why I recommend some patience!
We still have more time than a lot of companies when they find they need a new NOMAD, so I have no worries that they will have one in due course. As I said the vast majority of companies have not announced a new NOMAD yet, if they all had and MRS hadn't then you can worry a little.

" The directors of MRS are aware of the proposed merger of its current nominated adviser ("Nomad"), Northland Capital Partners Limited ("Northland") with SP Angel Corporate Finance LLP. The directors have also been informed that Northland has voluntarily agreed to relinquish its Nomad status and will be removed from the register of Nomads with effect from 7am on 1 February 2019.

In accordance with AIM Rule 1, if the Company fails to appoint a new Nomad by 1 February 2019 the Exchange will suspend trading in the Company's AIM Securities. If the Company has failed to appoint a replacement Nomad by 4 March 2019 the admission of its AIM Securities will be cancelled.

The Company's board is in advanced discussions to appoint a new Nomad and is confident that a suitable replacement will be appointed by the required date. A further announcement will be made in due course."

Notwithstanding what I wrote below, troutisout, I was encouraged by a post today (was it you?) which reminded us of the positive noises Zorbas had made re MRS as being important to URU. How much 'say' he now has in MRS is anyone's guess though I feel. Trevor Brown's and Nigel Burton's departure are a bit of a mystery, some negative thoughts have been voiced by others on that, and again: Because this is MRS any negative rumour gets naturally magnified.

Can someone on here remind us all what the Deadline is for Shares being suspended please? Was it 31 January? The letter stated that MRS would then have approx one (or was it two) months in which MRS had time to find a new nomad, following which the Shares would be cancelled on AIM. HL then said something like "it might be very hard if not impossible" to sell any Shares.
Excuse the capitals, still haven't mastered my German pc.
