I wouldn`t describe myself as illiterate but I haven`t got a clue how to read the RNS
Pity they can`t write an RNS that we could all understand

DF - I've spoken to an analyst today and broker and they read this exactly how you have explained it. Pity folks don't know how to read but find it easier to attack the messenger. This is just corporate action stuff.
In short I'm loading up on Monday as the new company and listing will rise very very quickly as it will be without debt and have the largest european network backed by virgin.
It's got 50p plus written all over it.
No BOD expects shareholders to vote yes on such a stupid offer.
Perk of transferring them to the new scheme you might. Just food for thought. Study some past buy outs and see what happened to the shares.

DF - if it goes through, you'll be selling your shares to Virgin/Stobart, full stop. You won't be transferring them anywhere.
If everyone thinks the BOD expect people to roll over on a 1p offer then you are crazy. People are picking up these shares to be able to transfer them over to the new scheme. Why else buy 14k worth at 3p knowing it’s a 1p takeover. The new scheme will be part of a massive JV with the key market players. Cyprus is back on tourists minds. The RNS says delisting and re registration!!!

If you’ve opted in to take connect shares they last day of trading it transfers over. My Superdrug shares went to kingfisher on the takeover. I was given 2p a share or 1.5p new shares on the scheme. Took the new scheme.

They would offer you 1p to sell or transfer them over to the new scheme trading as connect airways. You can’t have the bod taking all the money and leave shareholders with nothing. It will be a transfer scheme to ensure the holders agree the deal. Come on peeps! As if the bod think we will accept 1p
Plus if Flybe sit within the JV they can’t not exist can they? It’s a JV takeover.

Does it mean they are buying our shares for 1p but the directors keep the shares as part of the merger ?
People have seen that in the RNS and have snap these shares up. That to many reads opt in for the transfer and continue trading as Connect Airways, also says “Flybe sit within” don’t obt in your get zero. Obt in you get the joys it brings. If it didn’t mean that it would have tanked below 1p

The more I read it the more confused I get. I don`t know if it is a takeover or a merger !!!
Connect Airways has received irrevocable undertakings to vote, or procure a vote, in favour of the Scheme at the Court Meeting and the resolutions relating to the Acquisition at the Flybe General Meeting (or, in the event that the Acquisition is implemented by way of a Takeover Offer, to accept or procure the acceptance of such Takeover Offer) from each of the Flybe Directors who hold Flybe Shares in respect of their own shareholdings, amounting to, in aggregate, 871,664 Flybe Shares representing approximately 0.40% of Flybe's share capital in issue on 10 January 2019 (being the latest practicable date before the release of this Announcement). The irrevocable undertakings from the Flybe Directors remain binding in the event of a competing offer being made for Flybe.
Says delisting and re registration. As connect. Don’t take the option your shares are cancelled. Anybody else see that?

other than the registration of the transfer of the Scheme Shares to Connect Airways pursuant to the Scheme
So nobody will vote yes then. What shareholder will vote for that
17. De-listing and re-registration
It is intended that the last day of dealings in, and for registration of transfers of, Flybe Shares (other than the registration of the transfer of the Scheme Shares to Connect Airways pursuant to the Scheme) will be the last Business Day prior to the Effective Date, following which all of Flybe's Shares will be suspended from the Official List and from trading on the London Stock Exchange's Main Market for listed securities, and Flybe Shares will be disabled in CREST.
After the Scheme Record Time and before the Scheme becomes Effective, entitlements to Flybe Shares in CREST will be cancelled and such entitlements materialised. On the Effective Date, all share certificates in respect of Flybe will cease to be valid and should be destroyed.
Beyond a white knight, the only other hope is that an ii decides the BOD have let them down badly and promotes a better alternative way to finance the company short term whilst promoting an equity raise or trade sale on better terms than these.Not sure which ii's are shareholders or what their view is but they must also be really fed up .
